the goodwill and trademarks of and belonging to the business

formerly carried on by the firm of Arnhold Karberg & Co.

and afterwards by the Plaintiffs Harry Edward Arnhold and

Charles Herbert Arnhold.

and (3) That under and by virtue of the said Agreement dated

the 12th day of September 1917 the said goodwill and trade-

marks became and are in equity the property of the Plaintiff

Company and ought to be assigned by the Plaintiffs Harry

Edward Arnhold and Charles Herbert Arnhold to the Plaintiff

Company.

IT IS THIS DAY ADJUDGED AND DECLARED

(1) That the partnership formerly existing between and

carried on by the Plaintiffs Harry Edward Arnhold and

Charles Herbert Arnhold and the Defendants under Articles of

Partnership dated the 12th day of November 1912 was dissolved

at 11 p.m. Greenwich time, of the 4th day of August 1914 by

the outbreak of war between Great Britain and Germany.

(2) That upon the true construction of the said Articles

and in the events which have happened and particularly the

dissolution of the partnership as aforesaid the said Plain-

tiffs were on the 12th day of September 1917 (immediately

before the execution of an Agreement of that date made

between the said Plaintiffs of the one part and the Plaintiff

Company of the other part) absolutely entitled to the goodwill

and trademarks of and belonging to the business formerly

carried on by the firm of Arnhold Karberg & Co. and after-

wards by the Plaintiffs Harry Edward Arnhold and Charles

Herbert Arnhold.

and (3) That under and by virtue of the said Agreement dated

the 12th day of September 1917 the said goodwill and trademarks

became and are in equity the property of the Plaintiff Company

and ought to be assigned by the Plaintiffs Harry Edward

Arnhold and Charles Herbert Arnhold to the Plaintiff

Company.
