MEMORANDUM OF AGREEMENT made the Ninth day of April One
thousand nine hundred and fifteen
BETWEEN SIEMENS CHINA COMPANY of Shanghai in the Republic
of China (formerly carrying on business as Siemens China Electrical Engineering Company Shanghai) (hereinafter called "the Company") of the one part and DOUGLAS WILLIAM MUNTON of Victoria in the Colony of Hongkong Gentleman (hereinafter called "Mr. Munton") of the other part WHEREAS the Comapny has
for sometime past carried on a Branch of their business as Electrical Engineers and Contractors at Hongkong AND WHEREAS the Company has arranged with Mr. Munton to take over the said Branch and for such purpose to form a new Company intended to
be called "Siemens China Electrical Engineering Company (Hong Kong) Limited" NOW IT IS HEREBY AGREED as follows:-

1. The Comapny shall transfer and Mr. Munton on behalf of the new Company shall take over all and singular the stock in trade goods chattels monies credits debts notes and things in action of the said firm and the undertaking business and godwill thereof in Hongkong with the full benefit of all contracts and agreements and of all securities in respect of the said things in action to which the Company is entitled and all the personal property of the Company in Hongkong.

2. As part of the consideration for the said transfer Mr. Munton shall undertake to pay satisfy and discharge all the debte liabilities and obligations of the Company in Hongkong and shell adopt confirm and fulfil all contracte and engage- ments now binding on the Company in Hongkong and shall at all times keep the Company indemnified against such debts liabili- ties obligations contracts and engagements and against all
actions
