A new order in council for British Companies in China, coming into force on Jamary lat.,1916, provides for a majority of directors of British nationality, for the election of a British auditor and impose considerable fines in case of non-compliance. As a consequence a manager of British Nationality would probably be required.

A the gentlemen on the Board of Directors in the majority have always been of German nationality and as the Articles of Association provide, that the firm of Carlowitz & Co. shall be the agents of the Company and one of their partners residing in Shanghai

Director and Chairman of the board, and as we believe it to be in the

interest of the Company that there should be no change in this regard,

we beg to propose to call an extraordinary general meeting of the share.

-holders of the Company to be convened shortly and to submit to you

resolutions authorizing:

1). the voluntary winding up of the Comp my as provided by the

Articles of Association;

2). the election of a quidator who will be authorised to

sell the Company as a going concern to a new Company "Yangtze Lagerhaus Aktiengesellschaft", incorporated under German Law for the consideration of Tls. 250,000.-. Shares

in the new Company.

Those Tls. 250,000 will be divided into 2,500 shares of Tls. 100 each, so that every shareholder will receive one share in the new company in

exchange of every share held in the old company.

The new Company will take over all shares and liabiliti-

-es of the old Company and the business will be carried on by the Company in exactly the same manner as heretofore, the only change being

the name and the registration.
