All shares of the undersigned Company standing in the
name of or being under the control of Messrs. Carlowitz & Co. a
German firm and the only Directors being the undersigned German
subjects, we find ourselves unable to comply with the new China Companies Order in Council 1914, coming into force on 1st. January 1916. Therefore, as a British Company, entirely Germen owned and
German directed and having no British members or creditors, we beg to apply for Special Licence finally to adopt the following two resolutions which have been to day passed by Extraordinary General Meeting and which require confirmation as special resolutions:-
1). That the Company be wound up voluntarily as per 31st.
December, 1915, and that Mr. C. Landgraf or another or others to be named by the Directors and subject to the consent of the British Authorities at Shanghai be and he is or they are hereby appointed Liquidator or Liquida- -tors for the purpose of such winding up.
2). That the said Liquidator or Liquidators be and he or
they are hereby authorised to sell the Company as a going concern to Messrs. Carlowitz & Co., subject to the consent of the British Authorities. Mr. C. Landgraf named in the Special reolution being a German subject, we have reserved the right to the Directors to appoint another person subject to your consent.
In the alternative that this License is not grated, we have to apply for Special Licence to continue with the Directors now serving and Messrs. Carlowitz & Co. as General Agents, said Company having been Agents of our Company since it's
