ations would continue notwithstanding the dissolution so far as might be necessary to wind up the affairs of the partnership and to complete transactions begun but unfinished at the dissolution.

We expressed the further opinion that the War did not compel you to remain idle during its existence and that you were justified in carrying on business on your own account if you could. Bee your way to do so, but if in doing so you made use of partner- ship assete you would be accounteble to your Partner at the conclu

sion of the War.

In these ciroumstances we recommended you to complete all the Firm's business pending at the outbreak of War and treat this as having been done on behalf of the Firm under the powers of Section 38 of the Partnership Act, and we further recommended you to treat all new business subsequent to the outbreak of War as done by you on your own responsibility.

On the 25th September last you executed a Power of Attorney in favour of your Agent Mr. Feimann at Hong Kong to act on your behalf and you purported to make the appointment as the

sule proprietor of the business of Bune & Reif which Firm had be

dissolved by the outbreak of War.

On the 1st October last we addressed a letter to the Under Secretary of State for the Home Department in which we Bet forth the legal questions affecting your Firm and the position which you took up and that letter was ultimately treated as your applic ation for the License to Trade which was granted.

In these circumstances we can soarosly suppose that the Officials of the Home Office would suggest any bad faith on your part in carrying on the business and granting the Power of Attorney es described.
