Your Excellency,
I have the honour to inform you that having
at the instance of the Foreign Office made enquiries regarding the status of the British Company Andrews, von Tischer and George, I was
informed by the Company that they were adopting American registration. Subsequently on the 25th. August 1 received a letter from the Acting American Consul-General enclosing copy of one from a firm of American
lawyers stating that Andrews, von Fischerz and George had been register -ed as an American Corporation on July 15th. under the laws of Haine
and that this new firm had powers to acquire the property, goodwill,
etcetera of the old one.
I have been in communication with the Registrar
of Companies at Hongkong and learn that the requirements of the Companies Ordinance for winding up have not yet been complied with, but it is evident that the old company will henceforth be a mere name
until its removal from the register is completed.
All the outstanding contracts of the old firm
will no doubt be transferred to the new American firm, and as the
conversion is evidently due to a desire to evade the consequences of infringing the Trading with the Enemy Regulation and the German share- -holder probably retains all his interest (me-fifth) in the business, the new firm lies under grave suspicion and will be excluded from the "White List" of the British Chamber of Commerce.
Von Fischerz the German shareholder has always
had control of the Shanghai office and is now in charge of that of the
new concern.
