I have the honour to inform you that Mr. Mansfield, His Majesty's Consul at Canton has written to me a despatch cover- ing a copy of his despatch to yourself of June 10th in regard to the status of British Companies registered in Honkong, but promot-
ed by Chinese subjects with the object of taking over their business and conducting the same under British protection.
Mr. Mansfield wishes me to state my opinion as to the attitude to be taken by His Lajesty's Consuls in relation to such companies when carrying on business in China.
I have the honour to advise as follows:-
By section VI of the Hongkong Companies Ordinance No.1 of 1865, founded on the Companies Act, 1862, 25 & 26 Victoria, Chapter 89, it is enacted that:-
"any seven or more persons associated for any lawful purpose, "except that of carrying on the business of Banking, by "subscribing their names to a Kemorandum of Association and "otherwise eorplying with the requisition of this Ordinance in "respect of registrations, form an Incorporated Company, with "or without limited liability*.
The section quoted, followe the provisions of the Imperial Act, save as to Bonking Corporations, it being desired apparently not to interfere with the constitution of Native Banking
