Sir:-

I have the honour to inform you that, acting on

your authority conveyed to me in the Foreign Office

despatch No. 21 of the 21st November, whilst in Hong-

kong I discussed the draft Companies Orcer in Council

with the Chief Justice. We were in agreement on all

the questions affecting the jurisdiction of the Courten

and in so far as the concerr Hongkong as to the other

points dealt with in the Ordinance with the possible

exception of Article 12, which provides for the

registered office of a China Company being in the

limits of the Order. I indicated the considerations

that I should lay before you with a view to amendments

of the draft and there was nothing to which he took

exception. As Sir W. Pees Davis said, so long as he

and I preside in the respective Courts there is no

danger that the provisions us to jurisulction will be

applied in any narrow spirit.
