Ordinance which apply to Guarantee Companies and unlimited Companies, but the effect of the alteration sugested above will be to make it impossible to register a Shanghai Company as a Guarantee Company or as an unlimited Company so that these sections will automatically cease to have any application to Shanghai Companies.

Sections 35 and 36. If section 4is altered in the manner

suposted, sectione 35 and 36 will not be applicable to Shanghai Companies for section 31 requires the register of members to be kept at the registered office and that provision will be complied with by a register being kent at shanghai.

It is, however, believed that sections 35 and 36 were inserted in the longkong Ordinance only to meet the case of Shanghai Companies, and, if those sections are not required for any other runpose, it would be well that they should be repealed.

Sections 40, 41 and 60. These sections should be made in-

applicable to shanghai Comanics if it is decided to require that the shares of those Companies shall be

fully paid up.
