I am directed by the Board of Trade to refer to

Mr. Langley's letter of the 16th February (5158/12)

enclosing a copy of a despatch dated the 15th January

1912 from Sir H. de Sausmarez and asking for the ob-

servations of the Board upon the suggestion made in

that despatch for dealing with the question of British

companies in China.

It is understood that the proposal is that a

branch of the Hongkong Register should be established

in Shanghai where the documents required for the in-

corporation of Shanghai companies could be received, but

that the actual incorporation of the company is to take

place in Hongkong and that after incorporation jurisdic-

tion in respect of Shanghai companies shall be exercisedą

by the Courts in Shanghai both in matters arising

during the life of the companies and also in respect

of their liquidation.
