1. The Managing Director shall be appointed by the Ministry of Posta and Communications and the Directorate General of Chinese Imperial Railways. Subject to the directions of the Presidents of the Board of Posts and Communications and of the Director General of Chinese Imperial Railways, he shall have the general management of the construction and maintenance and of the operation of the Railway and of all affairs connected therewith. All employees of the various departments of the whole Railway shall be under his

control.

2. The Engineer-in-Chief shall be recommended by the British and Chinese Corporation Ltd., and appointed to his office by the Director General of the Chinese Imperial Railways under agreement. He shall attend to the construction and maintenance of the Railway, and the supervision thereof in consultation with the Managing Di- rector and shall perform his duties in compliance with the direc- tions and instructions of the Directorate General of Chinese Imperial Railways conveyed through the Managing Director. All detailed plans, drawings, diagrams and specifications of the Rail- way and estimates of costs shall be forwarded by him to the Manag- ing Director for submission to the Directorate General of Chinese Imperial Railways for information and decision. All accounts of the construction and maintenance of the Railway are to be kept in Chinese and English; and returns and reports thereon shall, from time to time, be submitted to the Managing Director by whom they will be forwarded to the Chief Accountant's department for audit- ing and accounting.
