E. the Governor's despatch of the 11th, April 1911 and with it were submitted two memoranda by the Registrar of Companies (copies of which are attached to this report) explaning in some detail the differences between this Ordinance and the Imperial Ast on which it is founded. The marginal notes to the sections of the Ordi- nance contain references to the corresponding sections of the Act of 1908. The second and third sub-sections to section 1 have been introduced in order to remove any doubts which may have been engendered along the China Coast by the judgement of the Chief Justice in the Dallas Horse Repository case (5 Hong Kong Law Reports 194) as to the status of the ** called "Shanghai" Companies, which are registered in Hong Kong, but which do not carry businees there.
