Chairman of the Board of Control.
5. The Chairman of the Board of Control shall
be one of the two Members of the Board appointed by the Imperial
Chinese Government and shall be approved of by the Hongkong
Government. It shall be his office to preside at all meetings
of the Board and he shall have only one vote. He shall be the
channel of communication between the Board and both Governments
in all matters connected with the Railway, and shall countersign
all statements of account, and all transactions with the two
Governments shall be made under his signature. In cases where
the votes of the Board are evenly distributed the matter shell
be referred by him to the two Goverments for disposal.
General Manager.
6. The General Manager shall be British, ap-
-pointed under agreement by the Hongkong Government subject to
the approval of the Imperial Chinese Government. He shall
administer the affairs of the Railway and shall be present at
every Keating of the Board and shall have a voice, but no vote
whatever, in its deliberations. He shall be responsible to the
Board of Control for the efficient working and upkeep of the
Railway. His agreement shall conform to the usual practice and
the conditions of service as laid down in the Code of Procedure.
Staff.
7. The Railway shall he worked by a Staff
consisting of an Executive, composed of District and Assistant
Officers and of Subordinates of the various Departments of the
Railway (such as Engineering, Traffic, Locomotive, Carriage and
Waggon, General Audit, Stores, Account, Cashiers, Medical and
Sanitation Departments) directly under the control of and
responsible to the General Manager. For all appointments on the
