My Lord,
I am transmitting under cover of a
separate Despatch a draft Working Agreement, prepared by
Mr. E. S. Lindsey (with some modifications and additions
since inserted after mature discussion) and when I have
learnt whether Your Lordship approves its general terms we
shall proceed to negotiation as soon as I have learnt from
the Chinese Government whom they propose to designate as
their representative in the matter.

It has been the intention of this
Government in drawing up this Working Agreement, to put
forward a document reasonable and fair to both parties, and
though we may be prepared to modify some details, we con-

-sider the main principles to be essential. Judging however.
from experience in matters of negotiation with China, and
looking to the fact that British supervision is essential
to the economical and efficient working of the line, it is
