Peking, September 9, 1909. I HAVE the honour to transmit to you herewith, in translation, copies of two agreements which were signed on the 18th August last between a representative of the Board of Communications and a delegate of the South Manchurian Railway Company in regard to the Kirin-Ch'ang-ch'un and the Isinmintun-Mukden Railway loans, The arrangements set forth in these documents complete the details which were left unsettled by the agreements of the 15th April, 1907, and 12th November, 1908, copies of which were forwarded to you in my despatches Nos. 185 of the 16th April, 1907, and 538 of the 28th November, 1908.

Arrangement on Points of Detail relating to the Kirin-Ch'ang-ch'un Railway Loan.

THE undersigned delegates of the Chinese Board of Posts and Communications (hereinafter called "the Board of Communications"), of the one part, and of the South Manchurian Railway Company (hereinafter called "the company"), of the other part, appointed in accordance with the convention concerning the Hsinmintun- Mukden and Kirin-Ch ́ang-ch'un Railways concluded between the Chinese and Japanese Governments on the 15th April, 1907, and with the supplementary agree- ment of the 12th November, 1908 (hereinafter called "the supplementary agree- ment") have concluded an arrangement with regard to points of detail relating to the Kirin-Changch'un railway loan. The following are the chief provisions :-
Article 1. In accordance with article 1 of the supplementary agreement, the company agrees to lend 2,150,000 yen in Japanese currency, being half the amount of the capital required for the construction of the Kirin-Chang-ch'un Railway. The actual sum received under the loan shall be 93 for every 100 yen, and shall be paid in Tokyo to the Chinese Minister, who shall thereupon deliver to the company a receipt in accordance with the form (Form (A) ) annexed to this arrangement.
Art. 2. Within a month from the date of notifying the Japanese Minister in Peking of the conclusion of this arrangement, the loan funds above specified shall be handed over in full, and in one payment, on a date to be fixed by the Chinese Government, and of which ten days' notice must be given to the company.
Art. 3. The term of the loan shall be twenty-five years, and it shall be repaid in forty equal half-yearly instalments. Repayment shall commence in the sixth year from the date of delivery of the loan funds to China. When capital is repaid, the interest thereon shall cease from the date of such repayment.
Art. 4. Interest shall be calculated from the date of delivery of the loan funds to China, and shall be paid half-yearly, in accordance with the schedule annexed.
Art. 5. The director of the Railway Bureau in the Chinese Board of Communica- tions (hereinafter called "the Railway Bureau") or the managing director of the Kirin-Ch'ang-ch'un Railway, shall on the due dates pay to the company, either at Dalny or Tokyo, whichever is more convenient for the Chinese Government, the sums due in respect of interest and repayment of capital, and the company shall thereupon deliver to the managing director of the Kirin-Ch'ang-ch'un Railway receipts for the sums paid in respect of principal or interest, in accordance with the annexed Forms (B) and (C).
Art. 6. Traffic receipts from the Kirin-Chang-ch'un Railway shall be deposited in the branches or agencies of the Yokohama Specie Bank at Kirin or Ch'ang-ch'un
