Current banking business as well as small financial operations coming within the scope of the same do not come into the range of the present agreement..

§ 3.

The agreement is made on the principal of parity (viz: Equal terms in every respect).

The Hongkong and Shangbai Banking Corporation and the Deutsch-Asiatische Bank for their group enter jointly into the negotiations. They take equal share in the operations and jointly sign all contracts. They bear in equal shares all charges in connection with any business and conclade all contracts with even rights and obligations.

The contracts will be made without joint responsibility of the contracting parties to this agreement. Each of the contracting parties will liquidate its engagements with the party of the other side in China.

The two contracting parties will come to an understanding with regard to the realisation of the operations.

It is herewith stipulated that the placing of the Loans in whatever way or manner this may take place, shall be on joint account, so that the two parties to this agreement shall have an equal share in the proceeds less charges.

It is understood that subject to other arrangements the representative of the Hongkong and Shanghai Banking Corporation shall conduct the negotiations with the Chinese Imperial or Provincial authorities, entered into jointly by the two contracting parties, but always subject to a mutual understanding of the two contracting parties with regard to the terms in the course of the negotiation.

§ 4.

In the event of either of the contracting parties declining a participation in any business proposed, either from the outset or during the course of the negotiations, the consenting party shall have the option of doing the business on his own account without prejudice to the present agreement.

The Hongkong and Shanghai Banking Corporation and the Deutsch-Asiatische Bank group will endeavour to secure in their respective markets a successful issue of any loan jointly contracted by them.

Should the Hongkong and Shanghai Banking Corporation deem it advisable, especially in the event of a contract for or the issue of a larger loan, to take in another issuing house in London, they will in the first instance offer the business to Messrs. N. M. Rothschild & Sons in London. The German Syndicate reserves to themselves the right of increasing or reducing in each special case the number of German parties interested in said syndicate.

Any participation given in either market by one or the other of the contracting parties will be on its own account. Any participations given by and in the mutual interest of the two eontracting parties to any Banks or Banking firms outside of England and Germany, shall be borne in equal shares by the two contracting parties.

$ 7.

On the issue of any loan by way of subscription jointly contracted for, the Hamburg branch of the Hongkong and Shanghai Banking Corporation shall take subscriptions on behalf of the German Syndicate on such conditions as may be decided upon for other places of subscription.

$ 8.

The two contracting parties are willing to enter into an agreement for the purpose of fostering their mutual interest in Asia outside of Chinese loan aud advance business, and to enter into negotiations for that purpose shortly.

$ 9.

The present agreement will be in force until one year's notice on either side be given, such notice cannot be given before the end of 1897, and always only for the end of any following year

All stipulations made in this agreement shall, notwithstanding of ally notice of termination of such agreement, continue in force for the due fulfilment of engagements under this agreement.

Thus done in Berlin on the 27th of July 1895 by order of the Hongkong and Shanghai Bauking Corporation through Mr. J. Brussel and by order of the Deutsch-Asiatische Bank and the German Banks and Banking firms connected with her through Mr. A. von Hansemann.

Additional Clause agreed upon at the Conference of 4th October, 1905, at Brussels, between Mr. C. S. Addis representing the Hongkong and Shanghai Banking Corporation and Mr. Franz Urbig representing the Direction der Discente-Gesellschaft.

Whereas on the 27th July, 1895, an Agreement was made between the

HONGKONG AND SHANGHAI BANKING CORPORATION of the one part and the DEUTSCH - ASIATISCHE BANK representing a group of German Banks and Banking Houses, of the other part, for the purpose of joint action with regard to Chinese business.

And whereas it is deemed desirable that the provisions of Clause 8

of that Agreement, whereby the contracting parties bind themselves to enter jointly into all negotiations, and jointly sign all contracts should, without prejudice
