3. It will be observed

that the Ordinance provides (Article 4)

that the Governor in

Council in Hongkong

may issue

not more than 300

annual licence to

a

company

whose

objects comprise

transaction of

business

outside the Colony,

empowering

such

a

company, if authorized

to do so

by

regulations, to keep in

any place outside the Colony, which

is

near the place where its

principal

business is

carried on,

a

register

of

its members, and

shares so

registered in

such local register are

exempted from Hongkong probate duty and from stamp duty if

the

transfer is

executed within the

Colony. Provision

is

made

as to the

manner in which

such local registers

are

to be kept, and

the Governor in Council
