November 10, 1906. YOUR telegrams of the 17th October and the 5th November perused, to the effect that the British Consul's proposal for surveys of the Tengyueh-Tali railroad had been worn down by your Government, and that it has been agreed to stop them.

Should the British Minister come to negotiate, we will argue with him by the Treaty.

I HAVE the honour to forward to you herewith a copy of a despatch which I have received from the Acting British Consul at Pakhoi, transmitting a précis of the draft Regulations for controlling the railways which the Chinese Government intend to construct in the Province of Kuangsi.

Pakhoi, November 5, 1906. I HAVE the honour to inclose herewith précis of the draft Regulations for controlling the projected Kuangsi railways, together with a note by the Viceroy Ts'en on the question.

It will be remarked that the Viceroy merely shifts the quarrel as to the precedence in which the lines shall be built on to the shoulders of the prospective engineer, and does not, supposing he wore aware of them, make any comment on the curious and dogmatic principles of clause 10.

It is almost needless to add that the Regulations contain the usual Article (8) against receiving foreign capital.

Précis of Proposed Regulations for the Kuangsi Railways.

1. The name to be the Kuangsi Railway Share Company (Limited), under trade management.

2. The head office to be at Wuchow.

3. Lines to rum-(a.) Main line from Kweilin to Yung-fu, Liu Chou, Piu Chou, Kwei Hsieu, Hsing Yeh, Yn Lin, Popai to Pakhoi. (b.) Branch lines from Lung Chou by T'ai Ping, Hsin Ning, Nanning, Yung Shun, Heng Chon, Kwei Hsien, Kwei Ping, Ping Nan, Tseng Ilsion to Wuchow.

4. Works. The lines to be constructed first are :---

5. Officials-One manager-general, three assistant managers, treasurer and assistant treasurer, clerks, secretaries, &c.

6. Managing Committee.--One committeeman shall represent each Fu, Chou, and Ting.

If a Fu, Chou, or Ting collects shares to over 1,000,000 dollars it can have a second representative.

Each Hsien chooses one committeeman, who must hold at least ten shares. One representative may be sent by a Hsien for every 100,000 dollars collected

therein.
