18.-THIS Agreement shall continue for 55 years from the
railway being first opened for traffic. And pursuant to the provisions
of the Loan Agreement as long as any Bonds or Not Profit
Certificates of the Chinese Government are outstanding no modifica-
tion or alteration shall be made in this Agreement without the
written consent of the Corporation. /
19.--NEITHER Government shall by any hypothecation of or other
dealing with their respective interests in the railway give to any
bondholders or other persons any right in or control over the Railway
except subject to this Agreement and the only right which shall be
capable of hypothecation shall be the right to receive the share of net
profits belonging to the Governments respectively when duly ascertained
and the assignment of such last mentioned right shall not authorise
the assignee to exercise any of the powers hereunder of the Government
making such assignment. No cession of its ownership of its section
of the Railway shall be made by either Government to any third
power or to the subjects thereof, but this is not to interfere with any
remedies given by the Loan Agreement to the Bondholders.
20,- NEITHER Government shall construct or grant to any person
or Company any concession to construct or subsidise any railway or
other system of carriage of passengers or goods in the territory of
such Government which would compete with or prejudicially affect
the railway or either section thereof unless the other Government
