firm of Jardine, Matheson & Co., for themselves and on behalf
of the Hongkong and Shanghai Banking Corporation, representing
as Joint Agents the Corporation, of the other part, and it was
part of the objects thereof that the terms of another Preliminary
Agreement signed by the same contracting parties on the 13th
May, 1898, should be thereby adopted as a Preliminary Agreement
for the construction and working of a Railway from Canton to
British Kowloon in the Province of Kwantung, subject, however,
as far as might be practicable, to the terms and conditions there-
after agreed to in the Final Contract for the Shanghai-Nanking
Railway when signed and ratified.
And whereas the said Final Contract for the Shanghai-
Nanking Railway was duly signed and was ratified under the
authority of an Imperial Edict dated 9th day of July, 1903.
And whereas the terms of the said Final Contract for the
construction and equipping the Railway from Shanghai to
Nanking were that the Corporation was authorised to issue a sterling loan guaranteed both as to principal and interest by the
Chinese Government, secured by mortgage and redeemable as therein mentioned, upon the terms and conditions therein set
forth, and that the Chinese Government should provide the necessary land for the Railway as well as other facilities for the
