for Ordinary or Extraordinary General Meetings, shall be given by post or otherwise addressed to the registered address of the Shareholders. The delay or non-arrival of any such notice, made as aforesaid, shall not affect the validity thereof. Such notices shall be valid against the successors or executors of Shareholders who may have died in the meantime.

97.-The Reports made by the Board of Directors or the Chairman, and Resolutions passed at an Ordinary or Extraordinary General Meeting of Shareholders, shall within one month thereafter be printed and sent to each Shareholder.

98.-Reports of each half-yearly account shall be published in the Official Gazette and in at least three newspapers.

THE SEAL.

99. The official seals of Head Office, Branches, and Agencies shall be determined by the Board of Directors, and they may be altered at any time when the Board of Directors may deem it necessary.

DECLARATION OF OFFICERS AND EMPLOYEES.

100.-The Officers and Employees of the Bank shall, before entering upon their duties, make declarations containing the following engagements and the declarations shall be signed and sealed by the declarants.

(1.) To observe and never to violate the provisions of the Yokohama Specie Bank Regulations, of these Articles of Association, the Bye-Laws of the Bank, or any order of the Government.

(2.) To attend faithfully to the business of the Bank.

(3) Not to disclose anything relating to dealings of the Bank with its customers, or their credit or financial position, or any matters concerning the business of the Bank excepting such cases as may properly be disclosed under the Bye-Laws of the Bank.

VOLUNTARY WINDING UP.

101.-The Bank may at any time during the term fixed for its existence be wound up by a Resolution passed at an Extraordinary General Meeting of Shareholders convened in accordance with Article 64 hereof and sanctioned by the Minister of State for Finance. In such a case, not less than three nor more than five Liquidators shall be appointed, and they shall be entrusted with the duty of winding up the affairs of the Bank and shall have such power and authority in the premises as may be prescribed.

ALTERATION AND REVISION OF THE ARTICLES OF ASSOCIATION.

102. These Articles of Association may be revised, repealed or altered by a Resolution passed at an Extraordinary General Meeting of Shareholders and sanctioned by the Minister of State for Finance.

SUPPLEMENTARY CLAUSES.

103.-The provisions of Articles 12, 16 and 56 of these Articles of Association shall not apply to the shares held by the Imperial Household; such shares shall be dealt with according to the order of the Minister of State for Finance.

104.-The Articles of Association hitherto in force shall cease to have effect from the day the present Articles of Association are sanctioned by the Minister of State for Finance. All matters and things that have been done under the old Articles of Association, and all rights or liabilities that have arisen therefrom or thereunder, shall still continue to be valid.

105.-The Resolutions passed at the Extraordinary General Meeting of Shareholders held on the 30th day of the 3rd month 20th year of Meiji which conflict with the present Articles of Association, are hereby cancelled, and the matters therein referred to shall be controlled by the provision of the present Articles of Association.

106.-The powers and obligations of the President and the Board of Directors now in office shall be governed by the present Articles of Association, and they shall continue to hold their offices until new Directors are elected at the next Ordinary General Meeting of Shareholders.

107.-All matters that require the sanction of the Minister of State for Finance, either under the Yokohama Specie Bank Regulations, or the present Articles of Association, or by the order of such Minister, shall not be executed without such sanction, although the same may have been resolved upon at a General Meeting of Shareholders or at a meeting of the Board of Directors.

All the provisions contained in the foregoing Articles, numbered from 1 to 107 inclusive, have been resolved upon at the Extraordinary General Meeting of Shareholders convened on the 30th day of the 7th month 20th year of Meiji. In witness whereof the shareholders present have hereunto signed their names and affixed their seals.
