PROSPECTS OF COMPANY. - The salvent of a Brewery to this Colony cannot now be looked upon as an entirely new project, but, in view of changed coalitions, it is no exuggeration to say that its success on the liten indiented in this prospectus may now be anticipated with exmplete confidence. CO2 Gas: It is proposed to purchase Liquifying Plant capable of transforming all the CO2 gas obtain. ed by fermentation at the Brewery pul Distillery into a marketable product. As this gas is n by-product of Distilleries and Breweries, the turning of it into liquid gus is a comparatively cheap process. CO2 gas is used as a refrigerating medium, also in the manufacture of nerated water and for various other purposes.

(b) Directors Qualification and Itemuneration. The Articles of Association provide that the qualifica

tion of a Director Is to be the holding of Two hundred shares. The remuneration of Directors will be decided, at a General Meeting of Shareholders but will be not less than $1,000.00 per annum. (c) Underwriting and Brokerage.--Brokerage at a rate not exceeding 45% per cent will be paid on all

shares underwritten.

(d) The Company-will pay the preliminary expenses of and incidental to the formation of the Com

pany up to the time when it becomes entitled to commence business,
