As was explained in the circular sont with the notice convening! this meeting, members of an unin- corporated Association have an relation unlimited liability, in thereto; any one having a claim against the Chamber can-after he has exhausted the Chamber's funds-pursue the members in- dividually until he obtains all that the Courts award him. Your Committee are anxious to protect the members from any such unplea- sant consequences, and in this connexion I should like to point the proposed out that under Memordandum of Association of the Chamber, when registered, the liability in the future of ench member will be limited to $10.00. It is also afgnificant that the Chambers of Commerce of the principal cities in the British Isles have all adopted the safeguard of incorporation.

I do not think, that the proposed Memorandum and Articles of As- secintión call for special comment. Messrs. Deacons, by whom they were prepared, have based them on those of the Chambers, of Commerce of London, Liverpool, Manchester Birmingham and the British-Rumanian Chamber. All that is considered best has been takon from the Memoranda and Articles of Association of those Chambers and incorporated in these suggested for adoption by the Chamber in Hongkong. Mem- bera have had an opportunity dur- ing the last two weeks or more of perusing the draft at the offices of the Chamber. The objects us Hei out in the Memorandum are those almost universally adopted. by Incorporated Chambers of Com- merce and include the foundation of scholarships to assist young persons training for commercial careers and to advance and pro- mole commercial and technical education; apurt from this the Memorandum might almost be called "common form."
