Mr. R. Hancock presided at an extraordinary meeting of the Hongkong Cricket Club held last evening for the purpose of con- aidering the following revolu- tions:--
1. That the present Hongkong Cricket Club be wound up, and the Committee be authorised to. take all necessary steps for that purpose.

2.. That the Committee authorised to register & Company | limited by guarantee not exoced- ing 8100 per member, on the terms of the Memorandum and Articles of Association which will be sub- mitted to the Meeting.
3. That the Committee bel authorised to assign and hand over to the now Company, when registered, all the assets of the Club.
Tho Chairman said:-Betoro putting the resolutions to the meating I will endeavour to ex- plain to you the exact position of the Club. For some time past it has been felt by your Committee, that this Club should be brought into line with other institutions of a similar nature such as the Hongkong Club and the Golf Club. In former daye, with a small membership, a privately owned members' club was feasible, but with the greatly increased membership it is expedient that, the Club acquire a proper legal footing. The immediate cause of: the present resolutions is the proposal to build શ new pavilion, which necessitates the issue of debentures.

Ou consulting the Club's legal advisers it was ascertained that the Club not only had no power under its rules to issue de- bontures, but that, even were the rules amended, the Club could not legally issue debentures, and that! liability for the money borrow- ed would fall personally the Committee and, probably,; pro roht upon all the members, since the debentures would in effect be nothing more than LOU., issued by the Club, and would give no priority to the holders in the event of the Club! being wound up. In a concern which has reached the size of the present Cricket Club it is essen- tial that it should have somo recognised legal existence and the regulations of a more elaborate nature than those of the existing rules, which were not framed to meet the present) circumstances. Once the Club: has been registered as a limited Company by guarantee, it can effectively issuc debentures, which it is not at present in a position to do. In taking the present stops the Club is only doing what has boon done by the other leading Clute such as the Golf Club and Hongkong Club, when these institutions roached! a sizo when it was impracticable { to carry on as a privately owned Club.
