I beg to transmit herewith

a copy of Mr Whittall's Bill and Memo. the opinion of the Acting Attorney General). I have declined

to accede to Mr Whittall's request

there is

every

reason to believe

that the Company could not carry

on

the

work

and I am

not prepared to take

any

action

which would result in the breaking

up of the undertaking to which

so many

persons here and elsewhere

in China have subscribed and invested their

Nevertheless, as there is little

doubt of Mr Whittall's intention to

bring the matter, if possible, to the notice of His Majesty's Government, I have thought it right to lay the whole of these

facts in

detail before Your Lordship to prevent such delay as would result from reference to me. Personally I regret exceedingly that

the plan received the approval of

Executive, but I have not had it in

my

power to do more than partially remedy a mistake which had been made before I assumed charge of the Government
