The raport for presentation to the shafe holders at the eighth ordinary general meeting to be held on Saturday, 18th prox., reads as follows
Annexed we have the pleasure to lay before shareholders, statements of accounts for eleven months ending 21st July last.
The balance at credit of profit and loss ac- count is 5446,483.41, which it in' proposed to deal with as follows, viz:-To place to reserve food $100,000.00, and carry forward to maxt account $46,483 42,
The concession for lighting Canlon, together with the factory, property and material there, were sold to the Ta Ching Kwang Tung Electric Supply Co., for $1,339,000.00. Payment was completed on grat July, to which date the present accounts are made up.
It is obvious from comparing the figures of the last account with those'sow laid before you that, owing to circunistances beyond ourcontrol, we were losing ground at Canton and, in view of this and other considerations we decided to avail ourselves of the opportunity of disposing of this branch of the business at what wo consider, a fair price. We shall now have to devote all our attention to the 'development.of the Kowloon Factory.
Capital-It is not proposed to pay a dividend but to make a reture of Capital to the extent of $500 per share, or $500,000.00 out of fundi in (613 band, but this cannot be done until the nec81- sary resolutions, which are now being drawn up, have been passed' and the consent of the Court obtained.

TEXT OF THE AGREEMENT.
The following is publishéd as the text of the agreement relating to the Kirin-Changchung and Hsinmiptus-Mukden railways, which was ́ ́nigned on the 18th instant si Ticatalo.
(1) The South Manchurian Railway Cóm pany agrees to advance to the Chinese-Govern ment a sum of Y1,250,000 (the Actual amount receivable by the Chinese Government is 93 per cent.), half the amount of the expenditure quired for the construction of the Kiria- Changchang Railway, and also a sum of Y335,000, (93 per cent, receivable by China), Lalf the amount of the expenditure required for the reconstraction of the Hainminiun-Mukden Railway
(1) The money to be advanced shall be paid ia Tokyo within one month from the date of the sigalog of the agreement. ....
