Ltd, sued Mr. George S Thomson, the legal representative of Dodwell & Co., Ltd., claiming payment of Y6,19209 for work done to the steamship Errol under contrati, the proceed- ings in which were reported in previous issues.

"The fact that the defendant company is an agent for the steamships arriving at Yokohama has been proved by Exhibits A. Nos, 1,and 5, and alan by the deposition of E. R. Thomson,' a witress. It has also been proved that the defendant company is neither the owner aor charterer of the steamship Ez el. Exhibit B. No. 1, proves that the work under contract should biso execute d'as to satisfy the owner: of the Errol or his agent or expert, When all this evidence is considered it must be admitted that the contract was concluded not for the benefit of the defendant company, but as an agent of Strachan and Co., the charterers the veisel, as contended by the defendant. The plaintif admits that the contract refers to work for the accommodation of soldiers: in transport. The contract for the equip. ment of the vessel for such a purpose is evi- dently a commercial transaction, Article 266

The contract under dispute is valid against his principu, even if the defendant had not die closed to the plaintiff that he was acting for his -principal at the time when the contract was concluded. In view of the absence of any special agreement, the defendant, who acted as an agent, should not be held responsible for payment for the contract 1.xhibits A pro duced by the plaintiff are insufficient to prove that the defendant had thereby specially i. palated in hold himself bound for payment.
"The plaintiff contends that he had no 'knowledge at the time of concluding the con tract, ihil the defendant was, acting for his prin cipal. Inasmuch, however, as the provisions of the law above cited provide that the trans action done by an agent is valid against his principal, the plaintiff cannot hold the defend. sat for payment, unless he has proved to the estisfaction of the Court that he had no know. ledge the defendant had been acting on behalf of his principal. The evidence adduced by' the plaintiff to prove the point is insufficient and cannot be accepted.
For this reason, the plaintiff's claim is dia- missed, and plaintiff is ordered to pay the costs of the suit in accordance with Article 72 (1)nt
the Code of Civil Procedure, and the judgment is rendered as stated in the principal text."
