known mechanical engineers to join the Board who should have an opportunity of leaking into the items of the proposed expenditure. It seemed to him that the directors were propos ing to rains a very large sum; approaching ball the capital of the Company. Without saying, anything against the business abilities of the present directors bo did not think there was one of them who knew anything about mech anical engineering. He might be wrong, but that was his Impression. The proposal seemed rather like saying to the shareholders."open your moath and shut your eyes, and see what we will give you,” (Laughter). The two sug- Bested mechanical engineers on the Board might very probably make Tes. 200,000 go as far as the Tes. 275/x0, and he would not be surprised if they could do more than that,
Dr. Hays, as a point of order, asked whether the speaker could proceed before his proposi
tion was seconded.
**
-The Chairman ruled Mr. Judge in order. Mr. Judge argued that two mechanical enginest if they went into the items of ex- penditure would be able to make recommenda tions in which the shareholders could place confidence. He did not wish to say anything against the directors, but they were not
mechanical engineers. Suitable mas could be found, and he suggested some. If they were not already shareholders they mightbe qualified.
Mr. Minto suggested the probability of differ ences of opinion, and Mr. Judge remarked that" |the business might not be finished till mid-
night.
Mr. Bailty thought the sharabolders might. be told what was lo bi spent on machine
sheds and what upon other works for instança
The Chairman quite acknowledged that the directors ought to take all possible means to satisfy the shareholders as to the proposal.
M. Bailey remarked that they were getting 15 per cent, but had no hope of getting any more under the new scheme. He feared un- der the new schems they would not get that.
After`a fille further discussion, the Chair- man suggested that, if the meeting thought it could not go any farther at present, some one might make a proposition.

experienced men engaged in their service. If they added engineers to the Board, he cared they would run a very strong chance of having arguments, troubles, and difficulties between the engineering staff,, who had dote extremely well, and the Board; and he (the Chairman) mua say be. was very strongly of opinion that, within all reasonable limits, the engineering staff should be left to do their own work in their own way. If they
·wanted exìra technical advice the Company could very well afford to pay for it. He strong- ly recommended, Iram his' experience of the Company, that the engineering side of the busting ness should be left to the staff who were paid fair salaries for that purpose.
4
Mr. Bailey asked, in that case, why have a Board at all?
་
Mr. Judge did not see why directors should quariel with the engineers any more than with the office staff.
The Chairman replied that, of course, they could not possibly have a Company without a Board to run it, unless they had shareholders' meetings every week. Asto quartelling with the clerical staff, they need hardly discuss that question.
Mr. Judge asked why had the chairman aug gested it.
Mr. Judge's proposition was then put, and negatived by a majority, three voting in it favour. **
Mr. Minto, recalled two previous votes last year and the year before of Tex, popco and Tes. -30,cool for improvements; Was the money to be included with the present oppsal or spent independently? ·
The Chairman, vay understood.to.say that would go into the, new affair, and he added some explanations.
Mr. Minto thought the old arrangement of voting so much year. by year was better this taking a large sum at once, How long would the present scheme take to complete ?
The Chairman could not quite way. Probably it would be perfectly safe to say a year.: Hệ: agreed that the plio of voting a certain amount every year was excellent if it could be adhered to:
Mr. Bailey said at the last menting be com plained that they did not get on fast enough but now they were getting on.too fast, Would work, be carried po as usual at the same time with the improvements?
The Chairman remarked that they would have to do the best they could,
Mr. Minto urged that the shareholders should have more information, aye ja, what, was to be done,
The Chairman could, say at once that they "were going to spend nearly all the money.iq. workshop improvements. If they wanted would no doubt „techoical detailathe Manager,
