The cost of the preference shares is properly chosged, and is represented by the asset of £1,900,003 sterling which the company is not issued liable to repay; that is to say, they shares for £1,000 cos, ard they have, in my opinion-because they are very strong written off the cost of the preference shares out of their prof

shares represent. £1,000,000 of capital, and they have their earning powers. The fact that the company have written that off out of their profile only shows that they are very strong.
They are not obliged to do it; it amosets to something over $60,000, and the Income Tax Commissioners have always re fused to allow us to consider that as part of Der profits. They made Un write this off. An to the Petroleum Producte Action Gesellschaft Jo, that is more than covered by the amount which we bave put aside. The four steamers, the shareholders will be glad to learn, wera sold at a valuation fixed by Sir Alfred Jones, acting as arbitrator. The amount of Sir Alfred Jones award was a sum many thousands of pounds more than the amount at which the steamers stood in the company's books; but as the result of the co
compromise, the amount which we obtained for those steamers, was really £150p o, which will about clear their cost in the books, if we had got the price at which they were valued, they would have shown a very large profit indeed.

The Chairman, in reply, said that both his colleagues at himself appreciated the vote of thanks. He could assure the shareholders that they all devoted their best energies to the business, and they had the greatest possible inducement to do so, because they were by far the largest shareholders. He hoped that they. might be able to call the shareholders together before the end of the year, to confirm the nzree- ment with the Royal Duch Company. Ho would look upon that as really being the crowning success of this company, because they would be absolutely unassailable if they vory large production had behind them, the which the united companies controlled. He was most anxious at this stage, as the share. holders could quite underst ind, not to leave the shareholders theoyal Dutch Company
they had to confirm the agreement alen under the impression tha "this was a one-tided bargain. It was nothing of the sort, for the Royal Dutch would get quite as much as this company would, but it was clear that they would by the am Igamation have the advantage of economies, and it would alan do away with all: friction which might exist in the working of the two concams. That was one of the reasons. which guided the directors of both under takings to take the course, which they were now following. (Applause.)
