years ago, and is their desire to fleece the public nover ceased their manipulations till they brought about the disastrous amalgamation of the three companies, whose healthy rivalry had kept all the yards busy day and night, whereas now as the result of that amalgamation grass is growing in most of them. With the uadus inflation of the capital, came the necessity to charge such exorbitant rates that most of the work which used to come here bai now been driven away, but without such tharges the dividends demanded by the jabbers could not be maintained.
It is therefore not out of place, if we venture 11 offer a few remarks, from an absolutely dis interested standpoint, upon the scheme which is to be brought forward at to-morrow's meet
ng,
It is an unfortuante coincidence that on the very day the unfortunate owners of the oldest and largest docking company in the place are to meet to be asked to sanction the sale of the most valuable portion of the'r property for want of remunerative employment, a trivial ffshoot of the parent concern is meeting it happy shareholders with a proposal to incrests its capital by twenty per coast
Let us now submit the proposal before the >hareholders in the Shanghai Dock and Eng icering Co., Ld, better known in more prosperous times as Farobams, to a' briaf analysis...
In the first circular issued with the hope of inducing the oft-deluded shareholders to part with their properly on easy terms to convert it
to a wharf and godown cancero, the share olders were offered:
"A. Scrip in the sew company in proportion [ro8z to their holding of shares in the Shanghai Dock and Engineering Co., Ld. (one share of Cls. 25-fully paid up-in the new company for each in the Shanghal Dock and Engineer ing, Ca.), or

Optional Carga will be forwarded unless police to the contrary be given before 1 P.M., TO-DAY.
B. Cash in similar proportion." This latter looked alluring enough.
There is no doubt that in the unpleasant knowledge that the empty docks are pot carn ing dividends some of the shareholders might lie tempted to part, with, portion of their pro erty for an immediate cash returo, but we
notice that in the final resolution to be sub- itted to, the shareholders at to-morrow's neeling, offer "B" the one offering cash for The property discreetly and mysteriously dịu appears!
The shareholders are therefore merely offered a piece of paper, which the promoters say it worth Tis. 25, but which is our humble opinion is not worth 25 cents, for a property upon which the bland promoters

Let us see how the new whar: company would stand if it ever succeeded in seeing daylight.
It would to commence with be owing the shareholders in the Dock Coy. Tls. 1,380,000, for which they would hold no security, be cause under the scheme the property which they parted with so readily would be pawned to the debenture-holders for Tis. 1,370,000. The latter sum is much in excess of any offers that have been received for the property, but, that does not say that it is any thing like the true value of the property to the Dock Company shareholders, if their under- taking were properly managed and as fully. occupied with work as it used to be before the fatal amalgamation scheme was carried out by whichthe public and the bona fide shareholders lost so much and Mr. Twentyman, and soma of the wire-pullers behind the present coup, made million.
Then sopposing the scheme were put into operation upon a capital of Tis,, 3,000,000 the frontage of the new wharf and godown would

Various correspondents have dilated upon. the length of time it would take to fill up iba... dock, and reclaim, and build wharves, and go, downs upon the properties in question, and from our experience, we think it safe to say that if it could be dons in 21 to 3 years the work would be done more quickly than any wa have ever heard of in Shanghai.
The now company would in the end, haya, for a capital of Thị 3,000,000, i wharfage of
