This closed the business. An extraordinary meeting followed immediately, at which the Chairman proposed the resolution, embodied in a privately circulated document of which the following is a copy:-
'The Directors desire to place before the shareholders the exact position of the Com- pany, and they must therefore point out the immediate necessity of increasing the working capital, which is required to complete the mill and to provide funds for the vigorous develop ment of the present mines.
They suggest issuing 4,500 preference shares of $20 each, $ro to be paid on allotment and the balance as and if required by giving one V.month's notice for each call of $5.00, the said preference shares to receive a 5 per cent Second Heat :-). P. Jordan, I; N, H. Ruther-dividend on the amount paid up and then to rank equally with the ordinary shares for any further dividend.

After conclusion of the ordinary meeting called for the 24th day of March, 190s, an extraordinary meeting will be held at which the following resolution will be proposed:
That the Directors be, and they are, hereby authorized to issue 4,500 shares of $10 each to be called preference shares, and the provisions following in regard thereto shall have effect,

shares shall be entitled to receive out of the profits of each year of the Company as a first charze a preferential dividend for such year at the rate of 5 per cent per annum on the capital for the time being paid up on such shares respectively, and further after payment of such preferential dividend the holders of such preference shares shall be entitled to Participate in the surplus profits of each year pari passu with the holders of the other shares."

Of course it must not be lost sight of that we are erecting a mill with power for 40 stamps. If you endorse the resolution now before you, it will give us an additional $90,ogo capital only ball of which will be called up now and in all probability, with this sum, namely, $45,000, we shall have sufficient funds to meet all liabilities until the mill is running.
