'HO TUNG v. THE MAN ON IN-
SURANCE CO., LIMITED..
APPEAL, DISMISSED WITH COSTS.
Į mendation of Sir Robert Hart, the Chinesa Coverment made him a member of the fourth class, third degree, second order of the Dragon. About two years ago his health broke down, and he was advised to come to England for a change. Nearly all the time he has been home, he has spent at Penzance with his sister, Mrs. Wedlock, widow of the late Superintendent Wedlock, of Helston borough police ; but the change did not have any beneficial effect." Qa hearing that he was not likely to return to. China, a liberal pension was granted him, and Sir Robert Hart sent him a very substantial amount as his own personal recognition of the services rendered him.
Before the Judicial Committee of the Privy Council on 30th Nov. the case of Ho Tung v. The-Man-On-Insurance Co. (Limited), which was an appeal from a judgment of the Supreme Court of Hongkong of July 3, 1900, affirming a decision of the Chief Justice, was concluded.
Lard-Davey, in delivering their Lordships: udgment, said the sole question was whether the regulations of the respondent company were those contained in its Articles of Associa tion registered at Hongkong or those contained In Table A in the first schedule to the Com panies Ordinance, Hongkong, 1865, under the provisions of which the company was in corporated in 1881. The present question had arisen in this way.. A purchaser and transferee of shares in the company applied for registra. tion. The registered articles contained a power for the directors to prevent and disallow the sale or tosfer of shares to a transferee whom they did not consider a fit person 10 hold shares. In exercise of that power the DIRECTORS REFUSED TO REGISTER THE
TRANSFERRE
THE SEVENTH DEVIL OF OUR LADY.
Women who neglected certain proprieties used to be stoned. For that matter, they are still. But more often than not the stonas comes from Tiffany's, Then, too, the pro- prieties are not what they were. Originally they must have been quite simple. To-day conceptions of them are tolerably mixed. They vary with the latitude and even with the architecture. In Mayfair and along Fifth Avenue observance of them appears to consist in having improper thoughts of other people. In the slums they are a com- promise with the police. The Middle Classes are rumoured to have lumped them into a fetish which they call Etiquette. What that may mean we do not know and refuse to be informed.
ERUDITION IS NOT IN OUR LINE.
But summarily the proprieties may be taken as, representing that which you expect from your neighbour. Yet, of course, net that which your neighbour is permitted to expect from you. Otherwise everybody would be of the same mind on the subject, and we should all know What's What
The fact that we do not all know is sufficiently obvious and equally deplorable as well. But it has its excuse. The proprieties lack a criterion. There is no solvent by which an action can be resolved into right or wrong. Guizot tried to find one and failed. In the course of solemn platitudes spawned through intermin- able pages he stated with perfect philistinism that the obligations to
AVOID WRONG AND CLEAVE TO RIGHT; were laws as much acknowledged by man in his proper nature as are the laws of logic. Yet though he had the gift of producing phraseo- logy, as nauseous as that, for the life of him he gentleman his due, though, the difficulty that could not devise a distinction.. To give the
he omitted to remove he was tidy enough to conceal.
Asistotle was quite as circumspect. He stated that it does not depend on ourselves to be good or wicked. The information may ba. consoling, but it is hardly helpful Neither is the scholastic corollary that every being acts according to his essence. It is the same ides divested of its charity. Nor are we aided by repetitions of the Goethean aira, "Du bist am Eade was du bist." For thero wo get it again in German. On lines such as these the test is obscure.
They promise. but do not faifil. EVERY SILVER LINING, HAS ITS CLOUD. Here, though, is a break in it. Descartes, who, if we may believe all that we hear, taught of two substances, mind and matter, precisely as if he had seen, and counted them, could, Mabane de Staël has said, distinguish between right and wrong as readily as between blue and. yellow. But is abuse evidence? Besides, women. are sad gossips, Hell is paved with their tongues. Moreover, when the remark was made Descartes was, too dead to defend himself
who thereupon moved the Court to have the re- gister rectified by registering him as the holder of the shares, and raised the question whether the directors had the power which they claimed against any accusation of omniscience. Yet to reject the transfer. It was contended that, in everything being possible, and assuming that the circumstances, the regulations contained in the lady told the truth, in what did this power Table A were the only regulations of the com- exist? Surely it was not Madame de Stael's pay. The Chief Justice held that the enactment intention to represent Descartes as being sta in section 18 of the Ordinance' making thewise that he knew, did he certificate of incorpamtion conculsive evidence
GO HOME LATE AND INTOXICATED,
that all the requisitions of the Ordinance had he would set a bad example to bis baby sister, beea complied with applied, to this case, and for common sense could have told him that, refused the motion. On appeal, the Chief Nor could she bave meant that Descartes' Justice adhered to his opinion; Mr. Justice ability to discriminate consisted in believing: Sercombe Smith differed from him. The that whatever he said was right and whoever original order was therefore affirmed. Their disagreed with him was wrong, for there is Lordships thought that they were entitled to nothing unique in that; it is what we all do. draw the inference that all the shareholders had Oui, monsieur, vous aussi, accepted and adopted articles as the valid and operative Aricles of Association of the company. The Articles of Assocation, stood on a very different footing from the Memorandum, and were in the power of the shareholders them selves. Their Lordships thought that by the acquiescence and agreement of the sharehold. ers shown by a long course of dealing the rei ́ gistered articles had become and were the Articles of Association of the company as sure ly as if they had been formally adopted by special resolution. They would, therefore, advise that the appeal be dismissed with costs against the appellant.
THE DEATH OF ME, B. PALAMOUNTAIN.
Perhaps, then, what the lady meant-pre supposing that she meant anything and also that she told the truth-was that Descartes. knew What's What.
