My last few letters have been very dry, that ls, I have harped pretty poralitently upon the drought. Now it la ralnieg. This is S1. Swithen's Day in addition to being the first day of the first hot Fa, and by rights it ought to redo for 40 days more or less, it St. Swithen holds away to the East,

At last I have soruething to send you, namely the bona fide agreement algaed and sealed be- tween the Taungi Ya men and the Peking Syndicate Ld, or the Anglo Italian Syndicate as It used to be known. This is the first agree- ment of the kind over made la Chins, and it is

-The Governor of Shansi having sanctioned the request of the Shanal Bureau of Trade for the sole right in open zod work coal and iron mines throughout the Distelets of Ya hain and Plogting-chov, and the Prefee- tares of Lu-an-fo, Tae-chott-fp and Ping- yang-fu and also petroleum wherever found the several concessions granted are now transferred for operation to the Peking Syndicate for the period of sixty years. Mising engineers shall frst be sent to Gad In what township and hills the mines are situated and what they produce, and make maps thereo with explanations inserted, which shall be sabmlited to the Governor of Shent that he may see that the proposed works are not lajurious to the place, and he aball report thereon to the Taung-1 Yamèn for record and at the same time Issue A permit for the mines to be opened without the least delay,

At all times Chinese should be employed as much as pessible. All salaries to be paid by the Syndicate.

I-When prospecting for mines, if there be any boring or sinking of pits to examine mineral deposits, an arrangement should first be mide with the land owner to compensate him for any crops lojured. Ila mine he opened on private land an arrangement mast be made with the co-operation of the local officials to lease or buy the land for reasonable price, fair to both parties as a measure of justice. Wherever land leased or bought for mines cantalas cemeteries of mortuary shrines soma plan must be devised to avoid them; there murl be no

excavation. After mines are opened, should there be damage to life or buildings from subiidence in the mines, the Syndicate sball make charitable compensa'tos. 6-Wherever mines are worked there shall be paid yearly to the Chinese Government as producer's tax (Lo-tl-shul), 5 per cent, on the cost of extracitng the output of the mines. From the profits shown by the yearly accounts there shall first be paid 6 per cent. Interest on the caplis employed, and next to per cent, shall be sei avide su a staking fund for yearly repayment of capital and consequent reduciton of interest, pay: ments to inlog fund ceasing when the invested capital is whoily repaids and from the remainiog net profit 25 per cent shall be paid to the Chinese Government and the remainder shall go to the Syndicate for น own dispoiltlon.

On first opening mines, Joreigners must of course be employed as mining engineers and foremen, bat later on the Barenu and the Syndicate should arrange to select for such positions say Chinese who may be proficient in mielog englacering or managing works, For subordinate positions of little respon- albility Chinese should be entirely employed and Shan i mattres as much as possible so sa to encourage improvement. 12-The miners employed should be chiefly Shanzi men and should be paid fair wages. After the mines are opened the Butenu and ibe Syndicate should select from European and American mlalag regulations, saltabla ones to apply to queuilans of compensation to mlaces for Isjeries while at work, to pensions for the aged after long service, the limit of daily working hours, &c, and obtain for such regulations the approval of the

Governor.

13.-In opening the mines the Syndicate shall establish school of Engineering and Mining in some locally convenient to the mines, and there shall be selected 20 or 30 promising youths by the local officials and gentry to study in this schoot under foreign los'ructora mod thus prepare for future employment on railwys and in mines The expenses for this school to be mat by the Syndicale.

Chloese merchants who apply for shares within the fized time shall be allowed to bay of shares for sale any number they wish. 15-Cblnere merchants who wish to buy shares

may get them from the Bureau who will procare them a current market rates; or ibey may themselves buy or sell the shares at pleasure.

f any Chinese gentry or merchant shall within the term of 60 yaits acquire three fouribs of all the shares of say one mins, that mine may then be redeemed from the Syadicate and the Bureau shall report upon same and direct that shareholder to tika charge of the mine.

16.-If within the ares authorized for opening

mines thers be mices already worked by the people, such private mines shall not be appropriated, but if a propelator be willing to lease or sell his mine, the Bureau and

the Syndica esball offers reasonable price for it but no compulsion shall be used. 17-Whenever t be cecessary for any mins to

make ronds, build bridges, open or deepen elvers or construet branch saliways to connect with main lines with water navigation to facilitate transport of Shanal coal, fron and all other maine products from The Provice, the Syadicate of reporting to 'the Governor of Shans! is authorized to to proceed with the works, using its own capital without asking for Government funds.
