shares in the new company-would be forwarded on application to the Liquidator. If not allotted within one menih the skates would be asid and the proceeds handed to the shareholders. Fro vision was made for a new scheme if this one foll through,
Tha Chairman then proposed the resolutions, which were na followin
1That it is desirable to reconstruct the Compasy, and accordingly that the Com- pany be wound up wolontarily, and that James Berwick Duncan, Erg, be and he Is hereby appointed Liquidator for the purposes of such winding up. 3-That the said Liquidator bo and he is hereby authorized to consent to the regla. tration of a new Cmpany, to be nam d The Pasjom Mining Company, Limited, wlih" a "Memorandum and Articles of Associallen which have already beca prepared with the privity and approval of the Directors of this Company. 3-That the draft agreement submitted to this meeting and expressed to be made between this Company of the first part and Hu Liquidator of the second part and the new Company of the hird part be
and the same is hereby approved, and that the said Liquidator be and he is hereby authorized, parsanat to Section 149 of the Companies Ordinance, 1865, to enter into an sgretment with such new Company when incorporated in the terms of the sald druit, and to carry the same into effect with such (If any) modifications as he thinks expedient. The Beard thought, he said, that the ordinary and they proposed to give it to the mode of shareholders were entitled to some consideration allatiing the votes. Previously the preferential shareholders had the same power as ordinary barebolders, dus vote for avery to shares, Now It was proposed that the Ordinary shareholders should be entitled to one wote for every 10 shares and the Preferential shareholders to one for every 40 shares and the Preferential shareholders would be on the same footing as the previous Articles of Association. The Ordinary share holders had paid up four times as much as the preferential shareholders and they should have some share in the voting, He thought the shareholders would see that the directors bad acted very fairly in the matter.
Mr. Hughes stid he thought that ordinary shareholders paying $1 wantd he receiving more than thete power in voting.
Mr. H. Georg said that the Chairman had dealt very fully with the matter and he thought it quite fafz if the preferential shareholders had ona vois for sach to shares.
MY, Hart Buck said the bolders of preferential shares had given a great deal more than $1 for their shares and be did not think it fair to take any of their roles away,
|
The Chairman said :—Gentlemen, we ara mat to-day under a cload and under circumstance which are far from balog encouraging and promising to shareholders. Our bright anticipa- tions of some months ago have in a great measur vanlubed, and instead of being shareholders in a rich, prosperous and dividend-paying mine of which we have had more or less a foratante, and which we had every reason to expret would have been realised long before ible, wa'find ourselves with our visible reserves of are on the upper. stopen wall night all worked out and our capital seatly exhausted. This, gentlemen, is a very serious state of affaiṛs indeed, yet the first inilmation we received of our reserves being likely to give out so soon, was from Mr. Phillips in his letter dated the 29th March of this year, when he informed the Board of Directors that he had suspended operations in the upper wast lender stopen and the stoper on the north and south inda over the ato fest level, leaving caly iour pelats from which to win quasts for the mill, vis; the stops at and above the 110 feet level, the intermediate level, and the stores above the 216 feet level, the stopes in the east and west lade, and the stopes west of the new shaft - the three former stopen however will continue to give stone for the mill from three to four months longer, by which time they will be getting, if not quite, exhausted. The stopes weit are an unknown quastity at present, but two months' working will prove whether it is a con- tinuation of the intermediate stone or a separate chute of ore. In reply to this letter from Mr. Philips we received a report from Mr. Blamer dated the 14th April in which the following state- ment occurs: "If as Mr. Phillips status the upper stopes are simast exhausted and will be quifa so within the next three months, and the chute of ore fand to the west of the new shaft is sa unknown quantity, then the antlook is far from bright." I do not however quite agree with him on this matter; true, the stapes may bo poor but they have been so on many former occasions, when by driving further on the face the stone gradually became richer. As to the chula of ors found to the west of the new shaft I can only say I have sean some very sich ore (specimens in faci) taken from il by Mr. Philips himself, and seeing that it is to the wast and north of any ere found hitherto at this level, that mineralised and is fally 6-fret wide la placer, I shall be greatly disappointed if it does not turo out of real vilna to the shareholders. It may fake, say, two months longer to get this point opened and is proper order lar productog one in quantity, but i have no hesitation in saying that in oplaton It will do so directly and this ta:
above the 200 feet level, and seelog that the ore on this chuin is better than has been seen on either of the other chates it sugur well for its being payable at the goo feet level when found there. Again on the 27th September the Maniger wri'us regarding this same chate of ore as follows: "Intermediate level. The Crosa cat here t› go out to interrest the course of the ore we are working to the stopes at the aco ket level is now nouring the point where it should be found and may reach it any day," and on the 4th of this month we received a telegram advising the discontÍARERCE of stoping in the upper levels for the present, Now though there is nothing very promising The Globs of 24th September is responsible or tangible in the recent reports from the mine,
for the alatement that "In Berlin naval circles yet we must not forget that the chula | the statement le firmly perslated in that arrange-

ments have been made by which Germany Is referred to by Mr. Philips as an unknown about to take over from China an Eastern naval quantity, and by Mr. Blamey as being better than has baon seen on either of the other chutes, and coaling station. The rumeus has been tra- liminaries are all but complete, and formal por session will be given very shortly, but the name of the station has not so far been divulged,"
We have also heard rumourste this effect, but so far nothing defintie has leaked out. If there be trath in the rumour we must congratulate our Teutonic friends on being able to keep their
Mr. Stokes: This is a matter of reconstruction. The Chairman said the old articles were never altered to meet the case of the preferential shares. The articles should have stated that they should have the same rights as the ordi- cary shares although they stood at $1 against
for the ardinity shares.
Mr. Jordan asked that the ineling of the meet- Ing be taken as to the reconstruction.
