The ordinary general meeting of shareholders

in this company was held at Haiphong on Friday (26th May), M. Louis Pila prealding.

The report and balance sheet for 1892 were passed, and it was resolved to empower the Board to take proceedings in reference to those sbareholders whose calls were yet in arroKE.

M. Nessler moved an amendment to the "or der of the day" proposed by the Board (In accordance with French law) to the effect that an endeavour be made to raise funds by, means of mortgage bends. This scheme had the sup- port of at least a quarter of the sbareholders, and corsiderable discrasion ensued.

Uimately the following resolutions were unanimously carried :—

That the Company increase its capital by the issue of new shares to the value of two million france, or of mortgage bonds to the value of three million francs repayable in twenty years, commencing from the sixth year,"

"That M. J. B. Malon be appointed with special powers to proceed to France with the ofject of arranging either of these two altern- ativer, be having full authority to fix the price of aue and be sate of taterest, and to bynthreate the property of the Company,"

That the powers ben by conferred en M. Malon have force for one year from this day."

"That in order to provide galust any difficulty in carrying out this chemo a sum of fifty thousand dollars be raised by means of $.00 mortgage bads at eight per cent, per annum, redeemable at the end of the second year, with right of redemption earlier if desired by the Company; the time of Isrue of auch last. named bonds to be fixed by the Board so that the shareholders may have the opportunity of "Babier blog; the shareholders to have priority In allotment, and in case of over-subscription, the shareholders to receive bonds in proportion to the amount of their holding of shares."
