Such was the programme; but it cannot be gaid that it was carried out in its entirety, for the company never made any annual profits, except in one year, when there was a gain of something less than five per cent. Neverthes less the directors in every year from the tist of commencement of business, declared and paid a dividend of five per cent, and sometimes more. It need scarcely be added that they remunerated themselves on the concsponding scale. Furthermore, relying on a resolution passed by the company, the direc tors from time to time paid certain bonuses to their manager. Clearly, all these payments were made out of capital. The balance-sheets from time to time prepared were the work of the manager rather than of the directors, and, need, less to say, they were delusive, inasmuch as they Bystematically over-estimated the assets of the company, and were prepared with the object of making it appear that there was a profit available for dividend. It may be asked, then, how the auditor viewed the requirements of the articles" so far as they related to himself? Apparently he thought very little about the matter, but was content to accept the manager's statement that the accounts submitted him were true copies of those entered in the books of the company, No proper statement of income and expenditure and no auditor's report were ever laid before the members. The directors themselves probably did not know the true state of affairs, and were willing to jake everything for granted so long as they could pocket their fees. It may interest other directors who are governed by similar prin- ciples, or want of principle, to be informed of the result of this over-confidence and greed. In the result, the directors of the Leeds Company were declared to have fallen short of the standard of care which they ought to have exhibited, and it was ruled that the onus lay uno show that the dividends so gally distributed bad | beca paid out of profits. Of course, they were unable to show this, and they thereupon were required to make good to the company the dividends, the directors' remuneration, and the bonuses for which cheques had beça ao gener. ously drawn.

Doubtless, stern lessons to the same effect have been read to directors before, and will be read to them again as time goes on; but the decision at the same time given by the judge with respect to the easy-going auditor of the company contained some elements of novelty and surprise. Mr. Justice Stirling held that it is on auditor's duty not to confine himself to verifying the arithmetical accuracy of a balance. sheet, but that he ought to inquire into its substantial accuracy, und also to ascertain that it contains the particulars specified in the articles of association, and that it is drawn up in such a way as to contain a true and correct representation of the company's, affairs. In his lordship's opinion, the improper payments mad by the directors of the Leeds Company were the natural and immediate consequence of the breaches of duly committed by the manager and the auditor, and both of those officials were held liable in damages to the extent of the amount Improperly disbursed, except that, as to part of the claim, the auditor was lucky enough to make the Statute of Limitations available as. abar. This very important decision is not as widely known and appreciated as it ought to bp. Henceforth, however, it should be clearly understood that an auditor cannot, be heard to say that he is a mere servant of the directors, and, as such, free from any substantial respon sibifly. The auditor is a servant, not of the

directors, but of the company. His mission is

to protect the company and its members from wrong and robbery, and in order to do that, be must check the action of its directors and mana. gers. This is a sound and wholesome doctrine, and it is to be applied not merely to building sociales, but also to the administration of all sorts and descriptions of jointstock companies. Financial News.

The residence of Mr. Tracy. Chief Secretary of the Navy, has been burned down here, and his wife and daughter perished in the flames. Mr. Tracy was rescued in a senseless condition.

Three lives we e lost altogether in the fire at Mr. Tracy's house, one of the servants having lost her life in addition to Mrs, and Miss Tracy. Mr. Tracy is recovering.

BERLIN, February 4th. Subsequent to the choral meeting at Stassfurth in Saxony, a serious conflict took place between the people and the Police, who fired on them, killing one woman and wounding four men.
