REPORT

of the Board of Directors to the Ordin- ary Half-yearly Meeting of Share. holders, to be held at the offics of the Company, on Thursday, the 28th July, 1881, at 8 p.m.

The Directors beg to submit to tho Shareholders the usual Statement of Accounts for the half-year ending 30th June last.

After paying running expenses, sal- aries, premia of insurance, repairs and all other outgoings, there romains, in- cluding $8,600.07 brought forward from last account, the sum of $79,661.72 at credit of Profit and Loss Account. From this sum, the Directors recoin- mend that $86,000, or. 6。 on the Capital, be paid as dividond for the half-year, that $35,000 be placed at credit of Depreciation Funil, and that $2,750 be appropriated as Directors' and Auditors' fees, leaving a balance of $5,911.72 to be carried forward to new account.

The ball of the Kinshan has proved on survey to bo in such a condition as to require a heavier expouliture for repairs thin the Directors have deemod it prudent to incur. She was put up for sale by auction, but no acceptablo offer having been obtained, it has boen decided, considering the old ago and wooden construction of the vessel, to remove the machinery and apparel, which can be utilized hereafter, and to dispose, of the hull and boilers. The steamer stands in the books of the

Company at $45,000, and being valued, in her present condition, at $20,000, the Directors propose that the differ. ence of $25,000 be written off.

The Depreciation Fund, which at the date of the last accounts stood at $100,000, will, if the proposals of the Directors be sanctioned by the Share- holders, bo increased, by the appropri- ation of $35,000 from Profit and Loss account, less $25,000 written off the value of Kiushun, to $110,000.

To replace the Kinshan, the Direct- ors have contracted with Messrs. A. and J. Ingris, of Glasgow, for a stoumer to be built of steel, with all late im. provements, completo and ready for sea, for the sum of £11,000. The. steamer is to be delivered in the Clyde in March, and should be ready for service in Canton wators in May next.

The White Cloud was thoroughly ovorhauled in March last, and the Powan" this month. The Kinking is to undergo hor annual survey shortly. Messrs. "A. ANDRE and W. KESWICK having resigned their seats at the Board on leaving the Colony, Mr. WM. RINERS and the Honourable F. B. JOHNSON have accepted the Directors' invitation to the vacant seats, and their clection requires confirmation by the Shareholders.
