Mr. Sheidon's reply was that as there were da rules yet formulated by the Incorporated Law Society. of Hong Kong there was no pro- cedure from which to follow in bringing this case to the Court's attention.

After due consideration, their Lordships decided that the report was not in order and consequently Mr. Sheldon asked for permission to remove it as evidence. This was granted.

When Mr. D'Almada began his address in the afternoon, he said that it was the understanding of the respondent that "two names mentioned were one and the same person, wherefore. His Lordship was entitled to give that opinión due weight However, that opinion was of no value unless the letters were of no guide and assistance in the case. The fact that the agreements were between inter- preters was of more import in the Colony'than in England.

NOT A PARTNERSHIP The first charge was one under Section 32, of the Solicitors Act and the whole charge was whether or not the agreement Involved the respondent as partner. If the ap- plicant failed to establish a part- nership then the charge falled...It was. Mr. D'Almada's submission that it was not a partnership but a loan agreement, pure and simple. At no time was there a partner- ship mentioned.

The circumstances that the agreement were entered into was the fact that the lenders had ro security except the success of the respondent's practice. They had no assets to fall back on, nor were i there any mortgages.

The respondent needed money, and the lenders, were in a position to dictate terms and they were only interpreters. There was ab- solutely no certainty that they would get a return on their money, except on the death of respondent.

In the agreement of 1925, it was Mr. D'Almada's submission that there was not one single clause which was consistent with a loan or an agreement.
