CASE FOR THE PROSECUTION

The story, went on Mr. Roberts, started in May, 1920, when Har- man and Conigrave were the only two defendants who were on the

board. In that month the corpor tion, wisely or otherwise, opened a banking account with the British

Bank of Foreign Trade, Limited. That was also one of the HarioLI group, Harman being chairman' and Conigrave director. At about that time the bank, became in an unsound financial position, and by December, 1830, it showed a de- ficiency with regard to its creditors of £124,000, When the Chosen Corporation opened that account The actual charge is that the ae it transferred to that bank loans cused between November 10, 1030, totalling £28,000 which had been and August 31, 1932, unlawful con- made by the corporation to other spired together and with other percompanies of the Harman group. | Bons unknown to cheat and defraud Those loans had been made on so such persons us then were share-curity, but in May, 1929, at the holders in the Chosen Corporation, Limited.

Mr. Roberts said the facts of the case were most complicated, and it would therefore be necessary to open them in some detail. to be formed. In 1994 that company was converted into a public com- any, its object being to take over the mining concessions already re- ferred to, and to work them. In 1926 the capital was reconstituted and was, after that, £500,000 in £1 shares.

Nurupi, with a capital of £80,000, Tong Chang, and "Kapan, each with a capital of £10,000, Japan- ese law requiring that the mining concessions should be worked by Japanese companies. The whole of the share capital of the three Jap- anese companies was owned by the

Buying of Chosen Shares.

The case for the prosecution was that in December, 1930, Barman controlled all the capital of the Chosen Corporation which, at that time, was divided, as to about! three-fifths of which, say £300,000, was in the hands of Harman's group of companies, the remainder being held by the general public. There would be evidence that from January, 1031, to August, 1932, the Chosen Corporation, or the board, consisting of the four defendante, expended £130,669 in the purchase of the Chosen's own shares.

Mr. de Vérteuil said that that would be disputed.

own

That money, proceeded Mr. Ro- berts, was partly the Chosen Cor- poration's own money, bat was principally the money of one of the Japanese companies, and therefore in his (counsel's) submission, was the Chosen Corporation's money, because everything that the Japanese companies owned was really the property of the corpora tion. With that £130,669 Harman and his co-directors bought for the corporation or for the Japanese companies--which was the same thing-173,029 share in the cor- poration. The price worked out at an average of 15a a share, and there would be evidence. given that at all material times the Stock Ex- change "quotations for these chares was haver bigher than Gs, and one could safely say that all the time they were procurable at 2s. or 38. They were sold to the Japanese companion by companies of the Harman group, and the main body of the Chosen Corporation share- holders had no word at all in the selling of the shares on these ex- ceedingly favourable terms at 156. a ́share.

request of Harman, the securities were returned, and the British Bank was thus in the position of debtor-in respect of the companies to whom those loans had been made. That step was taken when Harman and Conigrave were in a minority on the board and had not voted on those resolution, (Continued on Page 4.).

The whole scheme, in the submis- sion of the prosecution, of this purchase of Chogen shaten by the LAPIADASSIAMasaian was objantina.j able from the point of view of com pany law, because all the Japan- ese property was really the proper ty of the corporation, which, was in fact buying its own shares. .
