PROSPECTUS
The objects for which this Company has been formed are as contained in the Articles of Incor- poration and Bye-Laws of the Company, and in particular to acquire, take over, operate and control a group of the leading motion picture theatres throughout Chinn and the Orient generally.
Mr. Lo Kan, who has consented to servo as the first Managing Director of the Company, is well-known throughout the Orient and Amerien as a pioneer in the motion picture business in China and Hong Kong. He has had a leng and wide experience and has a specialised; knowledge of all branches of the cinema industry. Mr. Lo Kan has achieved outstanding success as one of the promoters and Managing Director of the Hong Kong Amustments, Lad., Hong Kong, since its inception, and ho directa or controls more than 20 of the fending cinoma-theatres in China and Hong Kong, of several of which he is the owner, and some of his several appointments are as follows:-
Managing Director:--
HONG KONG AMUSEMENTS, LAD.
CHINA THEATRES, LTD.
Director:-
YANOTSZE AMUSEMENTS, LTD.
EASTERN AMUSEMENTS. LTD.,
Kamber of Committee of Management:- CATHAY AMUSEMENTS, LTD.
Chairman, Board of Directors:
NORTH CHINA AMUSEMENTS, LTD.
Part of the proceeds of the present issue will be used to acquire:
(a) Control of a minimum of 10 of the leading motion picture theatres in Shanghai and outporte
under an agreement entered into between Mr. Lo Kan and the Company.
(4) A majority share interest of the Iong Kong Amusements,, Ltd., under an agreement entered into between certain shareholders of the Hong Kong Amusements, Ltd., qud the company. (c) Control of the Puma Films, Ltd., and the Theatre Equipment Co., Ltd.
The estimated cost of obtaining this control is Tls. 2,300,000 and is based on the past working of the theatres at present in operation,
It is intended to use the bilico of this issue, viz., Tle, 700,000 for the erection of studios and the production of Chinese pictures and also for obtaining control of further theatres where advantage- ous to the Company.
Negotiations are at present in progress for the lease on longterm of 22 mow of land for the erection of studios. Modern equip uent for the taking of sound pictures has already been purchased and an expert from the Radio Corporation of Amelia is dus to arrive in Shanghai shortly to supervise. the erection of the studies and the installation of the equipment. The Company intends to lease studio sinits to local companies and to encourage further Chinese companies to mako sound and talking pic turte. Not only will the Company obtain a handsome return on its capita! by leasing these units, but will also obtain a first refusal on all pictures produced at the studios.
When it realised that goo: Chinees pictures run in the cheaper-priced theatres longer than any foreign picture, the vast possibilites of Chinese pictures will be recognized.
There are less than 100 modern theatres in China, a strikingly small number when compared with the approximate number of 1,400 motion picture theatres in Japan illustrating the immense potentialities of the motion picture business throughout China, which is at presentia its infancy.
The theatres to be acquired will accommodate the release in China of the principal foreign pro- ducers with whom the Company, through Mr. Lo Kan) will have the dvantage of favourable contracts already entered into, and to afford releases of Chinese productions which will shortly be available from several Chinese producing companies
The Shanghai theatres will be well distributed throughout th city and each is especially design. ed to fulfil the particular requirements of the community in which it is located.
Among the many obvious advantages to be obtained from the consolidation of a large group of motion-picture-theatres under centralised control, operation and management, inay be mentioned con siderably reduced overhead expenditure, and increased revenue resulting from a selected distribution and better exploitation of the latest pictures
By having a chain of theatres under unified control the Company will be able to establish purchas ing offices in the picture producing centres in the US.A. and England, enabling direct contact to be maintained with some 28 or more producers who have no direct representation in China at the present time!

was too moderate for the Prinee of Wales, to judge from a letter she sent him defending it.
Her letter was as follows:-,
January 5, 1890.
My dear Willian,-As your Grandmother, to whom you have always shown so much affection, and of whose example you have always spoken with such respect, I feel I cannot refrain from ex. pressing my deep regret at the telegram you sent President Kru- ger. It is considered very un- frienilly towards this country, which I feel sure it in not intend- red to he, and has, I regret to say, made a very painful impres sion here.
The action of Dr. Jameson was, of course, verý wrong and totally unwarranted, but considering the very peculiar position in which the Transvaal standa towards Great Britain, I think it would have been far better to have said nothing. Our great wish has always been to keep on the best of terms with Germany, trying to net together, but I fear your Agents in the Colonies do the very reverse, which dooply grieves us. Let me
