The transport department was responsible for a loss amounting to $11.524. For the first eight months of the genr this department operat- ed at a loss of $12,575.17. but there was a materist improvement for the remaining four months of last year, in each of which the monthly losses were converted into actual small profits, the amount brought in tỏ credit for the latter period being $1,051.17.
Acting on the Company's auditors' recommendation, a drastic writing- off policy
was adopted by your irectors, with the result that the aunt written off assets aggregat- erĮ $42,$27.43, which went in swell the debit balance to $137,534.02. Of
Sir Robert Ho Tung. Kt.. and Mr. J. T. Bagram retire by rotation. but being eligible, were duly re- clected.
Messrs. Lowe, Bingham & Mat- thews offered themselves for re- election as auditors at a reduced fee of $500. Proposed by Mr. Alves and seconded by Mr. Botelho, car- ried.
Reorganisation of Share Capital,
A private meeting of the share- holders was held immediately after the general meeting, when the fallowing resolution, proposed by the Chairman (Hon. Mr. J. P. Braga) and seconded by Mr. J. Scot: Harston, was carried by 13 votes against 4:-
"That it is the considered opinion of this meeting that a reorganisa- tion of the share capital of the Hong Kong Construction Company, Limited, is advisable and that it be carried out on the lines suggested. in the Chairman's speech at this private meeting of the shareholders of the Company held this and day of April, 1990, and that "such scheme of reorganisation. be under- taken with the assistance of the Company's auditors. Your Directors carried out scheme of staff reorganisation in July of last year. Very substantial economy in overhead costs has been effected in consequence, the bene- fcial results of-which will, we trust, be reflected in the current year's account.
The arm of Messrs. Bayen and Basto, architects and civil en- gineers, was appointed technical. managers of the Company on Oc- tober 1, 1929, since when Mr. A. R. T. Raven, the senior partner of the firm, has acted as the Com- pany's General Manager. Mr." Raven, snr., has proved himsef un efficient. Works. Manager, and your Directors are quite satisfied that from the other members of the staff also, loyal co-operation can be ex- pected in the best interest of the Company.
In view of the year's unsatisfac- tory working, you will notice that, with the exception of the Managing Director's fee, which was paid from month to month until the end of July the Directors decided to waive their fees for the past year. Your late Managing Director did not draw.. his. renumeration from July to December inclusive. The Board felt that a great deal of work was entailed on the Managing Director throughout the year, and voted for the payment to Mr. Shewan of the remuneration due to him for the second half-year.
