We are informed that an agreement between the Union Insurance Society of Canton and the Yangtze, Insurance Association has been entered into for the amalgamation of their working interests and only requires ratification by the shareholders. "The substance uf the agreement is as follows:

(1). The Society undertakes to issue and allot part of its unissued expital (ie., shares of the nominal value of Elo each) credited as "fully paid-up to the extent at Es per share to Shareholders in the Association in exchange for their shares on the basis of one share in the Society for every six shares in the Association.

() As regards odd shares (nor amounting in number to six) the share- holders of the Association may retain thea if they wish. The Society, will, however, purchase any odd shares at the current market price unless it con siders that such price is unduly inflated. (3) The scheme is contingent upon. the shareholders of the Association heing agreeable to transier to the Society a aubstantial majority, satis factory to the Society, of the shares of the Association;

(4) The Agreement will be inopera- tive unless it is approved by meetings of each Company, and the Association. proposes to circularize its shareholders to obtain an expression of apinion from them.
