Mr. C. H. P. HAY seconded and the motion was carried unanimously.

There being no further business, the meeting terminated.

VARIATIONS IN THE ARTICLES. " The principal variations in the Articles are as follows:-

1.They give the directors power to issue new shares on such conditions as they may determine provided that special conditions are not given by the Company in general meeting. 2.They give the Company power su pay a commission not exceeding 10 per cent. to any person in considera tion of his subscribing or agreeing to subscribe (whether absolutely or conditionally) for any shares in the Company, or procuring or agreeing to procure (whether absolutely or conditionally) Bubscriptions for any shares in the Company. 3-Should the capital of the Company
