Sin, The grateful thanks of share holders are due to Deferred Again for so lucidly putting before them their posi- tion is--is the general managere. have read his various letters with due at- tention and have derived, much useful knowledge therefrom.

Now Deferred Again" has spent a profitable week-end in reading the Articles of Association, and, among other

very interesting things, tells us that the

general managers are allowed under the Articles to charge a reasonable remunera tion and that, failing agreement, the differences are to be settled by arbitra tion. The Chairman told the share holders at the annual meeting that there existed an agreement between the general managers and the Company by which their charges were regulated. In his re ply to question No. 3, the Chairman did not even take the trouble to refer to that part of the question which read "At what rate per cent, and on what items of account were such commissions charged So that shareholders do not know what charges are made. by the general. managers for their services and, conse quently, are unable to ascertain whether the terms of the agreement are being faithfully carried ont. It is not suggest ed that they are not, but, in view of the fact that the Articles admit of arbitra tion in the event of possible differences be tween the general managers and the Com pany, it is not unreasonable to suggest hat shareholders be made acquainted with the terms of the agreement in so far, at least, as the remuneration is con cerned.

Deferred Again proposes that a com mittee of shareholders should take up the matter in the interests of the Company. That, I am afraid, after recent events, a scheme which will never materialise,

but as a milder suggestion it is proposed
