You will remember that the shares were of the original value of £1, which had to be written down to 128, Gd. Well, I find in the case of an original share holder, he has had back (in cash) the 75. Gd. written off the value of his shares in 1902, and in addition he has had paid to him an average dividend (for the past 10 years) of something over 8 per cent, on the present par value of 12s. 6d. Assum ing it is on the present value of the share it works out at 16 per cent. I trust you will consider this as a reasonable recom pense for the period of waiting. I may be pardoned, perhaps, if I also again eall to mind the fact that in addition n debenture debt of £5,000 that was created to provide additional finance has been paid off out of profits, and the sum stand ing under the heading purchase of trading ights in the first balance sheet of the Company has been extinguished, the two items together making a sum of £8,000 With the proposed addition of £950 to reserve Fund that fund will be raised to $2,250, or nearly 47 per cent. of the paid-up capital of the Company. You will notice that the amount carried forward is somewhat larger than usual, but is is necessitated from the fact that! as the dividend is larger so also will be the bonis to the staff, which must certainly be as satisfactory to shareholders, as dutibtless it will be to the members of the

The Imperial Merchant Servies Guild is officially informed by the White Star Line of substantial improvements in, the pay and general conditions of the officers of the fleet, which will take effect in the case of all, steamers leaving on and after. May 1st. All the officers will then be granted increased pay, in many cases to. the extent of £3 to 24 per month. special system of annual leave for all the commanders and officers is to be arranged as soon as possible, and officers will be given an annual holiday extending to three weeks; two of which will be made continuous, whenever circumstances will admit of it. Officers Royal Naval Reservo drill will not be counted as holidays. The officers will not, as hitherto, be required to undergo the sight tests at the Board of Trade, but will he examined by the company's own doctor. Considerable improvements are to he inaugurated as regards watch-keeping, and as soon as the company can arrange it, all officers throughout the company will be put on three watches and in a farge number of the ships an additional officer will be carried in order that this may be done. This eventually will lead to the entire abolition of the two-watch system in the White Star Line. Improved conditions are also to be instituted in comnection with the inessing of the officers, who in the first-class passenger steamers will fare according to the first-class menu, the daily nessing is this way to be arranged by une officer of each ship leputed by his brother officers for the purpose. In the second and third class passenger vessels and cargo steamers an improved scheme is to come into fores providing for special fare in the case of commanders and offices.

Tin is also doing well, and consequently the two main articles of exports from the Straits Settlements may be considered prosperous. I now beg to move that the report of the directors and the annexed statement of the Company's accounts to December 31st, 1912, duly audited, be now received, approved, and adopted. I will ask. The Chairman then moved: "That a final dividend of 23 per cent.. less incone tax, be declared out of the net profits of the Company for the 12 months ending December 31st, 1912," Mr. Ward seconded the resolution, which was likewise approved.
Mr. Ward, rising, said he wanted to congratulate the chairman and his co- directors, as alse the stiff, on the skill, ability, and hard work with which thes bad brought the Company to the prescat successful point. The shareholders would remember the tins of despondency. He had himself seen how hard the directors had worked, and more especially the chairman, to whom he looked upon it as almost entirely duo that they had arrived at the stage when they were paying them- selves dividends of 36 per cent, and they had really got a reservd fund practically. equal to 30 per cent. of the subscribed capital, and when, as the chairman had told them, they had a god future before them. They might specially congratulate themselves, he felt, on living, wiped out the debenture debt nightmare which hung over them so long. As shareholders they would be ungrateful if they allowed this opportunity to pass without thanking the chairman and his colleagues, and doing more, putting their thinks into tangible form. He therefore proposed that the Company vote them one year's remunera tion, to be divided amongst theta, and he
