The report for presentation to the twenty-third ordinary general meeting of shareholders is as follows:
The Association having been established in 1862 has now completed 50 years of its existence.
Working account 1011 and former years. This account shows a credit balance of $289,334.21, against a credit balance of $263,652.87 for the previous rear.. The directora recommend the pay- ment of dividend to shareholders of 20. per cent, out of this account, and the transfer of $60,000 to the credit of re-insur- ance reserve fund and $10,000 to the credi of building reserve fund. will then stand as follows: Dividend of 20 por cent. Re-insurance reserve fund.-With the addition of $80,000, as recommended above, this reserve fund will stand at $400,506. Building reserve fund-After credit. ing this fund with $10,000, as recom- mended above, it will amount to $60,000,
Exchange and investment fluctuation necovat. After transferring $130,000 from the re-insurance reserve fund to the credit of this account, which transfer became necessary owing to the high rato of exchange at which the Association's sterling securities had to be taken on the 31st December, 1012, there is a balance of $8.804.48 at credit.
Sterling exchange has been at 2/10 9/10 (the demand rate on 31st December, 1912), and the relative value between dollars and taels at 73:

Directors. It is with deep regret that the death of Mr. H. J. Such hast be re corded. Mr. Such had served the Board of the Association for 21 years. Mr. B. A. Clarke was invited to rejoin the Board and offers himself for election at the meeting of shareholders and, in accordance with the articles of Associa- tion, the other directors all retire from office, but, being eligible, offer themselves for re-election.
Staff.-It is also with deep regret the Association have lost the valuable services of Mr. F. A. Cumming, who died in November last and who had been on the staff of the Association since 1893
Auditors-The Accounts have audited by Messra. G. H. & N. Thomson, Chartered Accountants, who offer them. selves for re-election.
