PROSPECTUS.
This Company has been formed for the purposes mentioned in its Memorandum of Association and primarily for the purpose of acquiring from F. D. Barretto, whose address is given above, the Vendor to the Company, of 640 acres of Mining Land in the New Territories to be comprised in & Mining Lease to be granted by His Excellency the Governor of Hongkong, which 640 acres is at present included in a Mining Licens granted by His Excellency the Governor-in-Council to Mr. F. D. Barretto and died the 14th of November, 1919.
Property. The property to be transferred by Mr. F. D. Barretto to the Company will be the Mining Lease when granted containing an area of 640 acres in one block and will be fora tern. not exceeding 75 years and the lease will be applied for immediately on the formation of the Company.
The business will be take over by the Company as a going concern as from the day of registration of the Company, and the Company will have the benefit of all profits realized from that date.
Transport-Transport is very reasonable as will be seen from the report made by Mr. G. Lanzius, an estimate of the cost of transporting Ore from the Mine to Hongkong being $10 per ton.

In his report Mr. G. Lanzius states that he has practically inspected the 840 acres to be acquired, and be obtained an average value of 3lbs. of Tin Oxide por cubic yard from the pits inspected. He draws attention to the fact that the Tin Ore is fairly evenly distributed through the deposit, and that the property is essentially dreaging propaaition, and should be worked very cheaply, the ground being mostly free wash with small boulders.
Plant. In regard to Fint, Estimates have been prepared by Mr. G. Lanzins, the cost of Dredge, Smelten, Tin Store, etc., being placed at 8180,000.
Capital. This issue provides for the sum of 8260,000 and after allowing for cost of plant, etc., as above, it is proposed to devote the sum of $70,000 for working. Purchase Consideration. The perchase price of the property has been fixed at 8500,000 payable entirely in Shares to Mr. F. D. Barretto or his Nominees, who will undertake in writing with the Company not to sell such shares on allotment for a period of twelve months from the registration of the Company under the sum of fifteen dollars per sare.
Minimum Subscription-The minimum subscription on which the Directors may proceed to allotment is 10,000 shares to be issued as wholly payable in cash, or payable as above $2.50 ea application, 8260 on allotment and the balance of 85 within 3 months at the registration of the Company.
Rent and Royalty.-The Crown Rent payable in respect of the 640 acres is fixed at $2 per acre per annum. Royalty will not exceed 5 per cent, _and__is The Royalty payable to the Government & Hongkong in respect of all Ores won. of 5 per cent, on all Orcs so won compares very favourably with the duty charged by the Government of the Federated Malay States.
Depreciation. Provision is made for a depreciation on Plant of 10 yearly. Preliminary Expenses.-The Company to pay the preliminary expenses of and incident to the formation and floating of the Company, down to the time when it becomes entitled to commerce business, and the estimated amount thereof is $2,000. Qualification and Remuneration of Directors and General Agents-The follow- ing are the provisions contained in the Articles of Association as to the qualification "No person shall be eligible and remuneration of Directore and General Agoats. for the uffice of Director unles he be a chareholder holding af the least one hundred shares.
"The Directors shall be paid out of the funds of the Company by way of remuneration for their services, such sum as shall be from time to time determined by the Compary in General Meeting, and the same shall unless otherwise by the Meeting be divided amongst them in such proportions and manner as the Directors immediatly concerned by Agreement may determine, and in default of such determination equally."
"The firm of Barretto & Co., of Hongkong, their nominees or successors in business so long as they or my one of the partners of the firm jointly or severally shall hold their or his own right not less than one thousand shares of the Company and shall be willing to act are to be the General Agents of the Company and their allowance shall consist of a sum of one thousand dollars per month for defraying the office expense of the registered Head Office of the Company at Hongkong.
Agreements. In addition to the Lease to be granted the following Agreement has been entered into in come tion with the Company.
1.-An Agreement dated, the 30th day of January, 1912, made between Mr. F. D. BARRETTo of the me part and the Company of the other part being an Agreement for the transfer or assignment of the lease to the Company, The Directors of the Company are not aware of any contracts other than the Agreement referred to.

In accordance with my agreement with you, I now beg to submit my report on part of the Tin Mining Concossion you held in the Now Territories from the Government of Hongkong. I also attach a skotch map to this report.
As a lease consists of one square mile or 640 acres, I have confined my examination to this area.
Location.--The property is situated in the New Territories behind the Kowloon Peninsula in the district of Unlong, and distant about 1 hours by steam launch from the City of Victoria and a walk of about 2 hours from the landing place brings us to our present leadquarters. The property can also be reached by using the Kowloon Railway to Taipo or Fan Ling and thence by foot or on horseback. There is also another route by steam launch by way of Deep Bay, the mouth of the river near Unlong being about 2 miles from the works.
Aren.--As stated above, I have confined myself to the examination of one mining lease or 640 acres.
Title. This is granted by the Government of Hongkong, being situated in British Territory. The lease is for 7 years or for such longer term as the Secretary of State may authorize. The Royalty is fixed by Ordinance not to exceed 3 per cent of the estimated value of the metal at the Mines when ready for exportation or for smelting or reducing.
Labour-Is both cheap and plentiful and the source of supply being close at hand, there is no fear of any scarcity, as is unfortunately the cass with many similar enterprises elsewhere.
Transport. The situation of the property being so near to Hongkong, I can contdently say that the cost of the carriago of the extracted metal to steamer in the harbour should not exceed $10 per ton. I understand the Hongkong Government intonds building shortly a branch line of the Kowloon-Canton Railway at Fan Ling to a place near our present workings. This should considerably facilitate the transport and cheapen the cost.
General. I have now worked on the property for about two months and have started sluicing for Tin. Sixty men have so far been employed and I have succeeded in recovering 200 pounds of tin concentrate per day. This Tin, I understood from you, has been valued by the Straite Trading Company (Smelters) at £151 per ton.
The whole of the 640 acres is practically level country, partly privately owned and cultivated paddy and potato fields, and partly Crown waste land. The local rocks consist of Micaceous granite with slight impregnation of Tin. The deposit is formed from the decomposition of the kills all round. Two streams run through the property, and as both have in course of time changed their beds from one side of the property to the other, alluvial deposits of tin are found all through the I have made numerous diggings almost all over the ground of the concession.
ren, with satisfactory results. As the rainfall this year has been considerably loss than the average, and there being in our present dry season sufficient water in the streams for our purpose, there need not be any fear of scarcity.
I can safely give the average of the wash to be twenty feet and more. The gravel is very fine and only in some parts amali deposita of clay are found intermixed with aand. The largest boulders I have come across do not exceed 6 inches in diameter. The ground on the surface contains very fine Tin, black, Also little bits of white Tin. The analysis of the Tin ruby and rosin Tin. concentrates so far recovered, I understand from you, gives a percentage of 89 % of metallic tin. So far I have got plans carrying up to 8 pounds of concentrates to the cubic yard of gravel. I sluiced 80 cubic yards and recovered 300 noun de of tin of 60 per cent.
The property is essentially a dredging proposition and I can strongly recotumend you to at once invest in a Tin Dredge of about 1,500 cubic yard capacity per diem. Proposed Working.-The acreage of the lease consisting of one square mile 610 acres) I propose to give you an ides of the waeh available, taking it to be on an average 12 feet deep. On th's basis we shall have ten million cubic yards of wash available, the Tin concentrates running from 1 to 8 pounds per cubic yard, which at the safe average of 3 pounds per cubic yard, the result in Tin extracted should show as nearly as possible 13,700 tons.
I find on further calculation that working at the rate of 1,000 cubic yards per day it will take about 30 years to extract all the tin in the property.
The monthly working expenses, including working of the Tin Dredge, salaries of Manager, assistants, wages of sufficient native labour to recover 80,000 pounds of Tin Concentrates per month should not exceed $3,000 during the same period.
In conclusion I must say that I consider the property examined by me 28 a most valuable one, enhanced by its close proximity to Hongkong, to the scure of supply of cheap native labour, and easy transportation facilities. I am, Dear Sira, Yours faithfully,

After writing my report dated the 22nd instant, I wish to state that the Boiler and Pumps are installed and in working order; we have the water down for 25 feet and an open cut shows the deposit very clearly. I am still going down on good wash, and do not think that the bottom will be reached in another 20 feet, so this will show a depth of wash of over 40 feet. The Tin is practically the sams quantity per c. yd., except that it is a little coarser. The sluice box and long tom are working satisfactorily, although we shall have trouble in disposing of the tailings. Of course, this will be overome when the dredge starts working. The house for the Foreign Staff as well as Coolie quarters are now ready and in occupation.
