THE AGREEMENT.
An Extraordinary General Meeting of this company was held on the 29th ulc, at Winchester House, London, to con sider the proceedings at and the result of the extraordinary general meetings of the company, held on the 7th and 19th Just. Mr. W. F. Turner presided.

Some three years ago Mr. Ollerdessen made an extended trip to Europe and America, and returned therefrom much benefited in bealth. It was, therefore, a subject for the keenest regret and sym pathy when he was laid aside from business towards the close of inst year. The Chairman said:--As you have heard, the business of this meeting is merely to confirm certain resolutions which were passed at extraordinary general meetings of the company held on the 7th and the 12th of June. Before we proced to deal with these resdutional I may tell you that after the last ment- ing we received a telegram from our agent and general manager, dated June 14th, stating that the final agreement had been ratified by the British Government and the Chinese Government. We have since received from the Foreign Office a letter dated June 19th informing us that the British Minister at Peking had re- ported by telegraph that the final agros. ment with the Lanchow Company, as signed on June 18t, was officially cor- manicated by the British Minister, to the Chinese Government on June 13th. The letter further informed us that as regards the formal approval of the agreemoit by his Majesty's Government, Sir John Jordan had been authorized some months go to convey to the Chinese Government the approval by his Majesty's Guvern ment of the agreement in the form in which it is understood that it has finally ixen signed. I cannot leave this part of the subject without expressing once more, on behalf of the board of directors and il shareholders of the compatiy, our indebtedness to his Majesty's Government and to the British Minister in Peking for their good offices and their active assist- ance in bringing this question to so satisfactory & conclusion Matters, there-W. winds over the Western port ou. furo, have now reached the final stage so All far as this company is concerned: that remains is for us to pass the resolu tions which are before the meeting,
Mr. Ollerdessen took no part in public' affairs, and although in sport he was ever an active participant, his interest was always keen, and he had the satisfac tion of seeing two of his sons attain positions of eminence in local spurting circles. In 1886 he married Miss Cook. He is survived by Mrs. Ollerdessen, four sons and three daughters, all of whom are in Shanghai. His eldest son is Mr. II. B Ollerdessen, who since the de- ceased's illness has been looking after his business, while his second son is Mr. A. F. Oherdessen, who is in the frm of toter & Go. The two youngest are still at school. Of his three daughters, one For the widow and is Mrs. Prinee, fanity the deepest sympathy' will be forthcoming.
THE NEW COMPANY.
That being done the new company will be registered in the course of the day. The Kailan Mining Administration will take over the management of the pro- perties and business of the two companies in China on Monday next, July 1st, and it is anticipated that the new company will make its Debenture issue in about a week's time. I move, "That the com- pany be wound up voluntarily under the Companies (Consolidation) Act, 1909," and that the following resolutions, passed at the extraordinary general meetings held on the 7th and 12th inst., be and the same are hereby confirmed as special esolutions:-

Mr. Ollerdessen, who was fifty years f age, was very intimately connected with Shanghai, having passed practically all his life there. He was born in Niogpo, but at an carly age came to Shanghai, where he was educated. After leaving school be joined the well-known shipping firm of John Morris & Co., and for many years his activities were de- voted to furthering the interests of this business. About six or seven years ago he left this firm, and joining the Stock Exchange very soon built up a large and Upon the local substantial clientèle.
