BEFORE THE CHIP JUSTICE (HON) MR. BEES DAVIES).
WINDING UP OF A COMPANY... This was a case in which application. was made by Mr. Potter, representing one of the largest creditors of the Hip On Exchange and Lowp. Co., for the winding up of the Company by the Court. The Hon. Mr. C. G. Alabaster, instructed by Johnston, Stokes & Master, appeared for a number of the remaining creditors.
· Mr. Potter Before bringing the peti- tion. I would point out to your Lordship that the petition is opposed, though F cannot understand for what reason.
Mr. Alabaster-I may as well say at once that. I am instructed by Messrs. Johnston. Stokes & Master, representing creditors to the extent of $73,000, and also by Mr. Otto Kong Bing, on behalf of other creditors, with the exception of the petitioner. These creditors are 17 in number and represent the large sum of $35,000.
Mr. Potter-It appears that Efteen creditors are opposing. My learned friend has mentioned that is appar ing for Mr. Jan Chu Pak, who represents the Hongkong and Manila Yuen Shing Exchange. Regarding Mr. Lau Chu Pak, it would" "appear from his own affidavit, that he is the official liquidator of the Manila Yen Shing, appointed by Ahia Court. As such, he is the servant of The Court. It does not appear" that "be has received the permission of the Court to oppose this petition in any way. In The Companies' Ordinance, section 146, appears what a liquidator may do with [the sanetion of the Court, and what he may do without the sanction of the Court. It is obvious that he can only oppose this petition under section 146, sub-section 18, and to do that he must obtain the sanction of the Court."
His Lordship-He is representing the Manila Yuen Shing, the largest creditor? Mr. Potter-No, my Lord, not the largest creditor; we claim to be the largest creditor. Mr. Lau's debt is dis puted by the Company. As an officer of this Court, Mr. Lau's duties are defined. by the Ordinance, and he can only do what it is stated by the section he can do. uates he gets the sanction of the Court. In no place does the section state that he can go into Court and oppose the poti lion. However, the reasons why this Company should be wound up are so overwhelming that it does not matter whether Mr. Lau is properly before the Court or not
His Lordship-You are asking that the Company should be wound up by the Court i
Mr. Putter--Yes by the Court, not under the supervision of the Court.
His Lordship-The liquidator would· then be the Receiver.
Mr Potter-Yes, or the shareholders. might hold a meeting and appoint a liquidator, who, if he is sanctioned by the Court, would become the liquidator instead of the present one, yo
. His Lordship-The third alternative would be to allow, the voluntary liquida- tion to go on, under the supervision of the Court.
Mr. Potter-The fact that the other créditors are creditors does not appear on any document or affidavit, and I should very much doubt that they are.
Mr. Alabaiter I understood that they are. As a matter of fact there are seven- teen ather creditors, and they stand for about three times as much as Mr. Potter's eliant.
Mr. Potter-With regard to these seven- teen other creditors, they have pot proved, in any shape or form, that they are creditors Not one of these so-called creditors has chosen to put on the ble an affidavit giving the reasons why he is opposing this petition. They cannot come here and say, through Counsel, We Lara opposing for such and such a reason.
I cannot cross-examine Counsel. So here 'you have seventeen creditors who are not
