COMPANY MEETING,

SHANGHAI PULP AND PAPER CO..

THE FINANCIAL SITUATION.

To consider the company's financial position, an extraordinary general meeting of the Shang- hai Pulp and Paper Co., Ltd, was held last week. The chair was occupied by Mr. V. Meyer, who was supported by Mr. J. R. Patterson- (Director), and Mr. A. 8. Wilson (Legal Adviser).

then

In explaining the object for which the meet- ing had been called the Chairman said i'. At a meeting hold on August 31, I placed before you in detail the position which the company then found itself in, and a plan for its fiquidation and the construction of a now company was placed before you and approved of by you. In and the accordance with the resolutions passed old company was duly liquidated, and on September 24 it was taken over by the new com- which in the meantime had been formed. As you will remember, the shares in the new company were Tha, 25 each and you have receiv- ed one share in this now company against each share which you held in the old. In order to continue basiness and bring the company on

pany

#necessary new

or

basis it was necessary to have working capital, and it wea pointed out to you that the lesst amount of new capital which your directóra considered sufficient to continue with was about

110,000 in

in other words, order to continge, each shareholder would Bavo to take

up at least one now. share, or Tis. 25 each, in addition to the ones allotted. If thin TYM done, the Basso-Asistio Bank would be willing to con tinne financing the company for a fixed term of years. Your directors expressed at the time: the opinion that with this new capital it should be possible to bring the company back once more to a profitable undertaking. A circular was sent you in which details of the suggested arrangement were given and you were given to December 19 to apply for and take up the shares. I am Borry to inform you that up to December 79 applicas tions for new shares of the amount of Fla 2,125 only has been received. The Russo- Asiatic Bank, which had s. mortagage on the Company's property, informed your Board on December 31 that in ziew of the fact that the thareholders were evidently not prepared to pab to up any more money the Bauk felt obliged forsclose on their security. Your Board met the management of the bank and succeeded in aronging with them for thie meeting of share. holders to be called in order to place the fun- pial situation before you, and to give you en- other chance to apply for sufficient now shares to satisfy the bank that the shortholders sro proper- ed to do something to save their property. The bank has promised your Board that if the share- holdara taka up now sharan to the amount of at lenst Tla, 100,000 before the 31st instant, the bank will be willing to make a similar strange. ment to the one which was suggested at our fest meeting, so as to allow us to continue and

to get into a proper position once more. Pending decision of the shareholders, the bank insisted, however, on plasing a receiver la bharge of the mill and in order to continue the rou- ting of the mill's businers and in no way spoil its goodwill, the bank, appointed me receiver on their behalf. It has proved impossible for us to place before you at this meeting the account of inst year. The bank is practically the company's We owe the bank about. enly creditor.

Tls. 365,000 and others about Tls. 23,000. Be- sides the buildings stid machinery, walch la st present in good working order and valued at Tis. 458,000, and supplies valued at Tis. 57.000 we have in stock paper valued at Tls. 65,030. We are also owed by properly guaranteed more: obante Tls, 45,000.

The Board is decidedly of the opinion flat your company can be brought back to a safe position if the zooorary funds are provided. at our last meeting I mentioned to you that we had started manufacturing new kinds of paper--- paper which is used in very great quantities and which it does not pay to import from home. In spite of the disastrous conditions which have existed here during the last four months, we have succeeded in: disposing of great quantities of this paper in fact, of our entire stock; and we consider it would be possible for the mill grad- nally to manufacture and sell the kind of

paper only thus avoiding the often very dinoult competition with imported papers. It has, how ever, been impossible for your Board to do any thing excopt just koop the emill going in view of the entire lack of response from you to their appeal for financial assistance. If you are not for "prepared to save your properly by

applying sudicient number of new shares, there is nothing left for your direstork to do than to advise the company to go fato voluntary liquidation, and in such a case I am afraid that there will be nothing bathing left for us share- bolders at all. I sincerely trust you will consider the situation seriously and apply for the necomsary new shares. I should be glad to hear if sur shareholders prosent have any suggestion

to olar ‘o save the prosent position,

A diccasion of an informal nature afterwards

took place, but no resclation was proposed, and

the aeting was deglared closed.

ELLAMS B. 19 ROTARY-

DUPLICATOR.

Has achieved si success unequalled by any other Rotary-Dapliostor. This is due to simplicity of working and the excellence of itting of the parts. It has osused a complete revolation in Duplicating, sud the production of perfect copies by the Rotary-Machine is

now a certainty written original any boy con make thousands of copies on any paper, and

From a

oach one will be perfect.

There is absolutely nothing to go out of order, and the apparatus is always ready for use. There is a mechanical device which allows the copy to be made in any position on the peper.

The pressure-roller is regulated by a simple lever, and the arrangement is so made that

it is impossible for the operator to have difficulty with his work.

The printing oflinder is

geared so that one turn of the handle makes a copy.

A most important advantage ELLAMS "B 19" possesses is that the ink never drips azd runs all over the Duplicator as on other Machines.

The ink nerer dries on the rollers or pads, and copios ona be made on any kind of paper. Moreover, this ink does not stain the hands in any way.

There is no peculiar or complicated fastening of the stencil-shest to the Dupliestor. The ELLAMS8 19" Duplicator is so stuolutely simple that it requires no experience whatever to produce perfect copies from it-there is no osloelating or

screwing of parts.

The Machine is fitted with an automatio Copy-counter recording instantly the total number of copies taken.

We stook three different kinds of this Duplicator:

For duplicating typewritten documente

2. For duplicating both type and handwritten doonmenta
